Acquiror Parent Common Stock definition

Acquiror Parent Common Stock means the common stock of Acquiror Parent, par value $0.01 per share.
Acquiror Parent Common Stock has the meaning set forth in the recitals.
Acquiror Parent Common Stock has the meaning set forth in Section 2.6(b)(i)(B). “Acquiror Per Share Price” means the average closing price per share of Acquiror Parent Common Stock on NASDAQ over the twenty (20) trading day period ending on the date that is five (5) Business Days prior to the Closing. “Acquiror Parent Shares” has the meaning set forth in Section 2.6(c)(ii)(A). “Acquisition Proposal” has the meaning set forth in Section 5.2(a). “Additional Holdback Shares” has the meaning set forth in the applicable Holdback Agreement.

  • The redemption price shall be paid in a combination of cash and shares of Acquiror Parent Common Stock as reflected in and pursuant to the terms set forth in Section 5.14 of the Merger Agreement and this Section 3.11.

  • For purposes of such payment, the U.S. dollar value of each share of Acquiror Parent Common Stock shall equal the product of (i) the average of the Parent VWAP (as defined in the Merger Agreement) for the three consecutive trading days ending on the second trading day immediately preceding the Merger Closing Date (as calculated pursuant to and in accordance with the Merger Agreement) and (ii) 0.8575.

  • Prior to such distribution, Acquiror Parent shall hold such Transaction Shares (and shares of Acquiror Parent Common Stock issued to Contributor upon the exercise of the Warrant) and shall not transfer or otherwise dispose of such Transaction Shares (and shares of Acquiror Parent Common Stock issued to Contributor upon the exercise of the Warrant) without the unanimous consent of the board of directors of Acquiror Parent.

  • The Form S-8 registration statement shall not cover the shares of Acquiror Parent Common Stock subject to any Company Options or Restricted Stock Units assumed by Acquiror which are held by Persons who do not become employees of the Acquiror at the Effective Time or do not otherwise have a service relationship with the Acquiror at the Effective Time.

  • Notwithstanding any other provision of this Agreement, no fractional shares of Acquiror Parent Common Stock will be issued and any holder of Founder Restricted Shares entitled to receive a fractional share of Acquiror Parent Common Stock but for this Section 2.6(c)(iii) (after aggregating all Founder Restricted Shares held by such holder) shall be entitled to receive an amount in cash (without interest) determined by multiplying such fraction by the Acquiror Per Share Price.

  • Amalco Common Shares means common shares in the capital of Amalco;

  • Existing Common Stock means shares of common stock of Delphi that are authorized, issued, and outstanding prior to the Effective Date.

  • Pubco Common Stock means all classes and series of common stock of Pubco, including the Class A Common Stock and Class B Common Stock.

  • Company Share Plans mean (a) the Company’s Stock Related Award Incentive Plan of 1999, as amended; (b) the Company’s 2010 Stock Incentive Plan, as amended; and (c) the Company’s 2015 Stock Incentive Plan, as amended;

  • Company Share means one share of common stock of the Company, $0.01 par value per share.

  • Company Stockholder Approval has the meaning set forth in Section 4.2(b).

  • Merger Sub Board means the board of directors of Merger Sub.

  • Common Shareholders means the registered and/or beneficial holders of the Common Shares, as the context requires.

  • Parent Ordinary Shares means the ordinary shares, par value $0.25 per share, of Parent.

  • Parent Shareholder Approval means the approval of (a) the Parent Share Issuance at the Parent Shareholders Meeting by the affirmative vote of a majority of the total votes cast by the holders of Parent Common Stock entitled to vote thereon, (b) the Parent Charter Amendment at the Parent Shareholders Meeting by the affirmative vote of a majority of the shares of Parent Common Stock outstanding and entitled to vote thereon and (c) the Parent Bylaw Amendment at the Parent Shareholders Meeting by the affirmative vote of a majority of the outstanding shares of Parent Common Stock entitled to vote thereon.

  • Parent Stock Plans has the meaning set forth in Section 4.5(a).

  • Merger Sub has the meaning set forth in the Preamble.

  • Company Capital Stock means the Company Common Stock and the Company Preferred Stock.

  • Parent Capital Stock means Parent Common Stock and Parent Preferred Stock.

  • Parent Stock Plan has the meaning set forth in Section 6.2(a).

  • Company Shareholders means holders of Company Shares.

  • Purchaser Common Stock means the common stock, par value $0.01 per share, of Purchaser.

  • Holdings Common Stock means the common stock, par value $0.01 per share, of Holdings.
