Acquisition Expenditures definition

Acquisition Expenditures means, for any period, the aggregate of all expenditures and costs of the Borrower and its Subsidiaries paid in cash, debt securities, Property other than common stock, or the assumption of Indebtedness during such period for (a) the purchase or acquisition of assets of a business of another Person other than the Borrower and any of its Subsidiaries, and (b) the acquisition of stock, partnership, joint venture interests or other equity interests in any Person other than the Borrower and any of its Subsidiaries.
Acquisition Expenditures means, in connection with any acquisition by the Company and its subsidiaries, without duplication (i) the purchase price paid or to be paid for the net assets or capital stock or other equity interests in connection with such acquisition, (ii) any Indebtedness assumed by the Company and its subsidiaries in connection with any such acquisition, (iii) any contingent liabilities assumed or incurred by the Company and its subsidiaries in connection with any such acquisition to the extent that such contingent liabilities are required to be reflected on the balance sheet of the Company and its subsidiaries in accordance with Financial Accounting Standard Number 5 (or any successor or superseding provision of Applicable GAAP), and (iv) all other costs and expenses incurred or to be incurred by the Company or any of its subsidiaries in connection with any such acquisition to the extent that such costs and expenses would be capitalized if such acquisition were consummated.
Acquisition Expenditures with respect to any Permitted Acquisition, the total aggregate purchase consideration (including, without limitation, Acquired Indebtedness, unsecured Indebtedness to sellers and earn-out and non-competition obligations relating thereto or arising in connection therewith).

Examples of Acquisition Expenditures in a sentence

  • The following terms shall have the meanings set forth in this §1 or elsewhere in the provisions of this Agreement referred to below: Acquisition Expenditures.

  • The Borrower shall not make any or incur liability for any Capital Expenditures (excluding Member-Indemnified Expenditures) and Acquisition Expenditures that exceed $4 million in the aggregate for each Fiscal Year or $150,000 per individual expenditure or group of related expenditures.
