Act of the Required Debtholders definition

Act of the Required Debtholders means, as to any matter at any time, a direction in writing delivered to the Collateral Trustee by or with the written consent of the Applicable Parity Lien Representative (as defined in the Collateral Trust Agreement) in accordance with the terms of the Collateral Trust Agreement, accompanied by, as and to the extent required by the Collateral Trustee pursuant to the Collateral Trust Agreement, security or indemnity satisfactory to the Collateral Trustee for any costs, liabilities or expenses that may be incurred by the Collateral Trustee in compliance with such direction.
Act of the Required Debtholders has the meaning assigned to such term in the Indenture.

  • Act of Required Debtholders means, as to any matter at any time:

  • Required Majority means a required majority, as defined in Section 57(o) of the Act.8

  • Required Vote has the meaning ascribed thereto in Section 2.2(b);

  • Majority in Interest As to any Class of Regular Certificates, the Holders of Certificates of such Class evidencing, in the aggregate, at least 51% of the Percentage Interests evidenced by all Certificates of such Class.

  • securities financing transaction or 'SFT' means a repurchase transaction, a securities or commodities lending or borrowing transaction, or a margin lending transaction;

  • Requisite Shareholder Approval means the affirmative vote of a majority of the outstanding shares of the Company’s Voting Stock (voting together as a single class) and the affirmative vote of a majority of the outstanding shares of Common Stock (voting separately as a single class), in each case approving the amendment of the Company’s amended and restated articles of incorporation to increase the number of authorized shares of Common Stock to 150,000,000 shares.

  • Securities Financing Transactions means collectively securities lending transactions, sale and repurchase transactions and reverse repurchase transactions.

  • Financing Transaction means a transaction in which a licensed provider obtains financing from a financing entity including any secured or unsecured financing, any securitization transaction, or any securities offering which is either registered or exempt from registration under federal and state securities law.

  • special majority means the majority of votes described in §11.2 which is required to pass a special resolution.
