Actual Net Asset Value definition

Actual Net Asset Value shall have the meaning given to such term in Section 2.02(c).

Actual Net Asset Value means the Net Asset Value of the Company and its Subsidiaries calculated as at Closing as shown by the Purchaser Closing Balance Sheet and as agreed to between the Purchaser and the Management Sellers Representative in accordance with Section 2.02(c).

Actual Net Asset Value shall be the actual difference between those assets and liabilities of the Seller expressly identified on (and calculated in the same manner as) Exhibit A hereto (as provided by Purchaser). The Actual Net Asset Value shall be determined as of the Effective Date, and adjusted from time to time.

• Prior to the Closing Date, any net proceeds received by Seller from the disposition of such assets relating to the Aisle 3 Stores shall be used to reduce the Assumed Indebtedness, and shall be included in the calculation of Actual Net Asset Value for purposes of the Purchase Price Adjustment pursuant to the provisions of Section 2.2. and 2.4. Purchaser shall be consulted in connection with each such sale or assignment.

• The calculation of the Actual Net Asset Value shall have been completed as soon as possible after the date hereof, but no later than 10 days prior to the Closing Date.

More Definitions of Actual Net Asset Value

Actual Net Asset Value means the amount shown opposite the heading "Nat Assets excluding pension deficit" as shown in the Completion Accounts as agreed or determined;

Actual Net Asset Value will mean the Estimated Net Asset Value set forth in the Estimated Net Asset Value Statement delivered by Seller.

Actual Net Asset Value means the Net Asset Value as set forth in the Actual Net Asset Value Statement. If Buyer receives a Notice of Dispute from Seller delivered pursuant to and in accordance with Section 3.6(c)(ii) within the time period set forth

Actual Net Asset Value means the Net Asset Value as agreed upon by Buyer and Seller in writing, and any such resolution shall be final and binding on the parties hereto for the purposes of this Section 3.6 and ARTICLE XII. In the event that Buyer and Seller are unable to reach agreement within 30 days following Buyer’s receipt of a Notice of Dispute on all of the disputed items or amounts set forth in a Notice of Dispute, then the following shall occur:

Actual Net Asset Value means the Net Asset Value based upon (A) all amounts agreed upon by Buyer and Seller in respect of any disputed items or amounts, as set forth in the Net Asset Value Memorandum; and (B) all other amounts determined by the Independent Accounting Firm pursuant to Section 3.6(c)(iii)(B).

Actual Net Asset Value means the Net Asset Value of the Companies at 31st October 2004 calculated in accordance with the Completion Accounts;

Actual Net Asset Value means the amount shown opposite the heading "Net Assets excluding pension deficit" as shown in the Completion Accounts as prepared in accordance with Schedule 7;
