Actual Net Debt means Net Debt as agreed or determined in accordance with paragraphs (4) to (6) below;
Actual Net Debt means, in relation to the JVCo Group taken on a consolidated basis, the following amounts as at the Financial Closing Date (as determined in accordance with Schedule E hereto):
Actual Net Debt means the actual amount of Net Debt at the Effective Time, as set out in the Completion Statement. This amount can be a positive or negative number;
