Additional Authorized Representative definition

Additional Authorized Representative has the meaning assigned to such term in Article VI.

Additional Authorized Representative means (a) any agent or trustee for, or other representative of, the lenders or holders of obligations, as applicable, under an Additional Secured Debt Facility, together with its successors and permitted assigns, or (b) an Additional Secured Party, solely to the extent that such Additional Secured Party (i) is the sole lender or other holder of obligations under a particular Additional Secured Debt Facility and (ii) is not represented by an agent, trustee or other representative.

Additional Authorized Representative has the meaning assigned to such term in the introductory paragraph to this Agreement.

Examples of Additional Authorized Representative in a sentence

• The execution and delivery of such instrument shall not require the consent of any other party hereunder, and will be acknowledged by the Administrative Agent, the Initial Additional Authorized Representative and each additional Authorized Representative.

• All communications and notices hereunder to the Additional Authorized Representative shall be given to it at the address set forth under its signature hereto, which information supplements Section 7.01 to the Intercreditor Agreement.

• The Additional Authorized Representative wishes, in accordance with the provisions of the Intercreditor Agreement, to become a party to the Intercreditor Agreement and to acquire and undertake, for itself and on behalf of the Additional Secured Parties, the rights and obligations of an “Additional Authorized Representative” and “Secured Parties” thereunder.

More Definitions of Additional Authorized Representative

Additional Authorized Representative means the Authorized Representative of any Series of Additional Obligations acting on behalf of the holders of such Series of Additional Obligations and shall include the Initial Additional Authorized Representative.

Additional Authorized Representative means, with respect to any Series of Additional Obligations or Additional Secured Parties, the Authorized Representative named for such Series in the applicable Additional Secured Party Consent.

Additional Authorized Representative shall have the meaning assigned to such term in Section 6.01(b).

Additional Authorized Representative means the duly authorized representative of the holders of the Pari Passu Senior Secured Notes designated as “Authorized Representative” in an Additional Secured Party Consent delivered to the Applicable Representative.

Additional Authorized Representative shall have the meaning assigned to such term in Article 4.

Additional Authorized Representative means each additional Authorized Representative named in the applicable Officer’s certificate, delivered in accordance with Section 6.09(c), for a Series of Pari Passu Debt Obligations or Pari Passu Secured Parties that become subject to this Agreement after the date hereof.

Additional Authorized Representative means, with respect to any Series of Additional Pari Passu Obligations or Additional Pari Passu Secured Parties, the administrative agent, trustee or other similar representative serving and named as the “Authorized Agent” for such Series in the applicable Joinder Agreement, together with its successors from time to time in such capacity.
