Additional Offered Shares definition

Additional Offered Shares has the meaning set forth in ‎Section 5.03‎(iii).

  • The Agent may exercise the Agent’s Option, in whole or in part, at any time and from time to time prior to the Option Expiry Date by delivery of written notice to the Corporation of the number of Additional Offered Shares in respect of which the Agent’s Option is being exercised and the date for delivery of the Additional Offered Shares (an “Agent’s Option Notice”).

  • The obligation of the Corporation to pay the Agent’s Commission shall arise at the Closing Time with respect to the Offered Shares or the Option Closing Time with respect to the Additional Offered Shares, as applicable.

  • In the event the Over-Allotment Option is exercised in whole or in part, the Additional Offered Shares shall be deemed to form part of the Offering and all provisions relating to Closing on the Closing Date shall apply on the Over-Allotment Closing Date.

  • Upon exercise of the Agent’ Option as provided herein the Corporation shall become obligated to sell the total number of Additional Offered Shares in respect of which the Agent is exercising the Agent’s Option.

  • The applicable terms, conditions and provisions of this Agreement (including the provisions of Section 12 relating to closing deliveries) shall apply mutatis mutandis to the Closing of the issuance of any Additional Offered Shares pursuant to any exercise of the Over-Allotment Option.

Related to Additional Offered Shares

  • Offered Shares has the meaning set forth in Section 3.02(a).

  • Initial Offer means the initial offer of Participating Shares in a Fund as set out in the applicable Supplement;

  • Initial Offer Price means the initial price payable for a Share as specified in the relevant Supplement for each Fund.

  • Offer Shares means the Hong Kong Offer Shares and the International Offer Shares being offered at the Offer Price under the Global Offering together with any additional Shares to be issued pursuant to the exercise of the Over-Allotment Option;

  • Initial Offering means the Company’s first firm commitment underwritten public offering of its Common Stock under the Act.

  • Offering Shares means the Class A Shares sold in the Offering, whether such Class A Shares were purchased in the Offering or in the secondary market following the Offering and whether or not such holders are affiliates of the Sponsor.

  • Initial Offering Period means the initial period during which a Series of the Trust will offer its Shares prior to the commencement of investment operations of such Series;

  • Initial Offer Period means the period determined by the Directors during which Shares of any class are offered by the ICAV for purchase or subscription at the Initial Price.

  • Shelf Offering Notice has the meaning set forth in Section 2(d)(ii).

  • Rights Offering Shares means, collectively, the shares of New Common Stock issued in the Rights Offering.

  • Final Offer means the offer on which a resource was dispatched by the Office of the Interconnection for a particular clock hour for the Operating Day. Final RTO Unforced Capacity Obligation:

  • Proposed Transfer Notice means written notice from a Key Holder setting forth the terms and conditions of a Proposed Key Holder Transfer.

  • Offered Units shall have the meaning set forth in Section 11.1 hereof.

  • Offering Notice has the meaning set forth in Section 3.1(a).

  • Purchase Shares has the meaning set forth in Section 2.5(c).

  • Remaining Shares has the meaning set forth in Section 4.1.2.

  • Purchase Option Notice As defined in Section 3.18(e).

  • Founder Shares shall have the meaning given in the Recitals hereto and shall be deemed to include the shares of Common Stock issuable upon conversion thereof.

  • Sale Shares has the meaning ascribed to it at Recital (A).

  • Purchased Shares has the meaning set forth in Section 2.01.

  • Unsubscribed Shares means the Rights Offering Shares that have not been duly purchased by the Rights Offering Participants in accordance with the Rights Offering Procedures and the Plan.

  • Offered Securities shall have the meaning specified in Section 5.03(b)(ii)(B).

  • Initial Shares means a number of Registrable Securities equal to the lesser of (i) the total number of Registrable Securities and (ii) one-third of the number of issued and outstanding shares of Common Stock that are held by non-affiliates of the Company on the day immediately prior to the filing date of the Initial Registration Statement.

  • Management Shares means a management share in the capital of the ICAV which shall have the right to receive an amount not to exceed the consideration period for such Management Share.

  • Underwritten Offering Notice has the meaning set forth in Section 2(b).

  • New Securities means, collectively, equity securities of the Company, whether or not currently authorized, as well as rights, options, or warrants to purchase such equity securities, or securities of any type whatsoever that are, or may become, convertible or exchangeable into or exercisable for such equity securities.
