Adjusted Cash Flow Per Share definition

Adjusted Cash Flow Per Share means (i) Adjusted EBITDA (determined in accordance with the company’s monthly operating reports and for external reporting purposes and adjusted for the impact of stock and long-term cash-based compensation) less gross capital expenditures and net interest divided by (ii) diluted shares outstanding (provided that the Committee may, in its discretion, adjust the number of diluted shares outstanding to neutralize the impact of changes in capital structure (including stock splits, reverse stock splits, or stock dividends)).
Adjusted Cash Flow Per Share means (i) Adjusted EBITDA (determined in accordance with the Company’s monthly operating reports and for external reporting purposes and adjusted for the impact of stock and phantom stock compensation) less any capital expenditures and interest divided by (ii) diluted shares outstanding.
Adjusted Cash Flow Per Share means the Corporation’s operating income or loss for the applicable Measurement Period, as reported by the Corporation on a GAAP basis, plus (i) depreciation and amortization, (ii) stock based compensation expense, (iii) business transformation expense, and (iv) losses on sale of assets, less (a) interest expense, (b) gains on sale of assets, and (c) year-end warranty adjustments resulting from the annual evaluation of the warranty redemption rates, all divided by fully-diluted weighted-average shares outstanding during the corresponding period. Adjusted Cash Flow Per Share may also be increased or decreased at the discretion of the Board for unusual and/or non-recurring items. In no event shall the foregoing vesting schedule be deemed to entitle the Holder to receive, pursuant to this Agreement, greater than 100% of the total number of shares of Common Stock of the Corporation granted to the Holder pursuant to the Restricted Stock Award. The Corporation shall not be required to issue any fractional shares upon any vesting of shares pursuant to this Section 3, and any fractional interests resulting from the calculation of the number of shares in respect of any such vesting shall be rounded down to the nearest whole share. No payment shall be required from the Holder in connection with any delivery to the Holder of shares hereunder, except that the Holder agrees to pay whatever income withholding tax the Corporation is obligated to collect as a part of the delivery of the shares.

More Definitions of Adjusted Cash Flow Per Share

Adjusted Cash Flow Per Share means (i) Total Adjusted Cash Flow, divided by (ii) Diluted Weighted-Average Common Shares Outstanding. “Adjusted EBITDA” shall mean the Company’s consolidated annual Adjusted EBITDA, determined on the same basis that Adjusted EBITDA for the Company is determined for financial reporting purposes. “Capex” shall mean the payments for purchases of property and equipment less proceeds from sale of assets determined on the same basis that Net Capex for the Company is determined for financial reporting purposes. “Diluted Weighted-Average Common Shares Outstanding” shall mean the dilutive weighted-average common shares outstanding as of the last day of the applicable fiscal year as determined under US GAAP for financial reporting purposes. “Net Interest Expense” shall mean interest expense less interest income determined on the same basis that net interest expense for the Company is determined for financial reporting purposes. “Stock Compensation” shall mean the XPO consolidated annual stock compensation as reported in the Company’s external financial statements, including both equity-based and cash-based compensation expense. “Total Adjusted Cash Flow” shall mean Adjusted EBITDA, plus Stock Compensation, minus Capex, minus Net Interest Expense.   • Adjusted Cash Flow for any fiscal year shall mean Consolidated Net Income of the Borrower for such fiscal year (after provision for taxes) plus the amount of all net non-cash charges (including, without limitation, depreciation, deferred tax expense, non-cash interest expense, amortization and other non-cash charges) that were deducted in arriving at such Consolidated Net Income for such fiscal year, minus the amount of all non-cash gains and gains from sales of assets (other than sales of inventory and equipment in the normal course of business) that were added in arriving at such Consolidated Net Income for such fiscal year.

  • Adjusted Operating Cash Flow means the net cash provided by operating activities of the Company as reported in the Company’s consolidated statements of cash flows included in its Annual Report on Form 10-K, adjusted to eliminate the effect on operating cash flows of net customer financing cash flows, as reported in the Company’s consolidated statements of cash flows included in its Annual Report on Form 10-K.
