Adjusted Nominations definition

Adjusted Nominations means the valid and binding Nominations that are received by Carrier from Shippers, as may be modified by Carrier pursuant to Carrier’s Proration Policy if Shippers have been notified that a specific Pipeline segment has been prorated.
Adjusted Nominations means the valid and binding modified Nominations that are received by Carrier from Shippers, once Shippers have been notified that a specific pipeline segment has been prorated.
Adjusted Nominations means the valid and binding Nominations that are received by Carrier from Shippers, as may be modified by Carrier pursuant to Carrier’s proration policy if Shippers have been notified that a specific Pipeline segment has been prorated. All receipts into the Pipeline must be received ratably.

Examples of Adjusted Nominations in a sentence

  • If there are no Shippers who have Nominations exceeding their Adjusted Nominations all Shippers who have Nominations on the allocated Pipeline segment will be notified that there is additional Available Capacity on the Pipeline segment.

  • All Nominations from these Shippers will be honored in the same proportion that their Adjusted Nomination bears to the aggregated Adjusted Nominations from all Nominations from Shippers.

  • For Uncommitted Volumes, the Monthly Volume in this column is determined based on Shippers’ Nominations or, if less, Shippers’ Adjusted Nominations.

  • Transporter shall adjust nominations for receipts and deliveries of gas in the priority categories specified below (listed in highest to lowest priority order), such that any curtailments will result in allocations of available capacity to higher priority services before lower priority services (Adjusted Nominations).

  • On or before the first (1st) day of July of each Contract Year; Carrier shall prepare and deliver in writing to the Shippers, the Adjusted Forecast of Annual Throughput, taking into account all Adjusted Nominations, Movements in the first six (6) months of the Contract Year, consultations with Shippers and such other information as Carrier may reasonably take into account, and Carrier and prepare and deliver to each Shipper an Adjusted Forecast of Annual Throughput.

Adjusted Nominations means the valid and binding modified Nominations that are received by Carrier from Shippers, once Shippers have been notified that a specific pipeline segment or portion of Carrier’s system has been prorated.

Related to Adjusted Nominations

  • Nomination Date as herein used means twenty-fifth (25th) of the month preceding the movement; provided that if the twenty-fifth (25th) of such month falls on a weekend, the date shall be the preceding workday, and further provided that if the twenty-fifth (25th) of such month falls on a holiday the date shall be two (2) workdays prior to the holiday.

  • Nomination Period means, in respect of a Nomination, the period from the Nomination Start Time to the Nomination End Time;

  • Nomination means a request by a Shipper to Carrier to transport a stated quantity of Crude Petroleum on the Pipeline for the account of such Shipper in any month.

  • Nominations means the process by which the customer or the customer's agent notifies the Company of expected transportation quantities.

  • Relevant Nominating Body means, in respect of a benchmark or screen rate (as applicable):

  • Nomination Day means the last day for filing or withdrawing a nomination as provided for by the Municipal Elections Act, 1996.

  • Incumbent Directors means directors who either (A) are directors of the Company as of the date hereof, or (B) are elected, or nominated for election, to the Board with the affirmative votes of at least a majority of the Incumbent Directors at the time of such election or nomination (but shall not include an individual whose election or nomination is in connection with an actual or threatened proxy contest relating to the election of directors to the Company); or

  • Designated Director means a person designated by the RE to ensure overall compliance with the obligations imposed under chapter IV of the PML Act and the Rules and shall include:

  • Incumbent Director means a director who either (i) is a member of the Board as of the Effective Date or (ii) is elected, or nominated for election, to the Board with the affirmative votes of at least a majority of the Incumbent Directors at the time of such election or nomination (but excluding a director who was elected or nominated in connection with an actual or threatened proxy contest relating to the election of directors of the Company).

  • Nomination Committee means the nomination committee of the Board established in accordance with Article 114;

  • Independent Directors means the members of the Board of Directors who are not officers or employees of the Manager or any Person directly or indirectly controlling or controlled by the Manager, and who are otherwise “independent” in accordance with the NYSE’s corporate governance listing standards (or the rules of any other national securities exchange on which the Common Stock is listed).

  • Investor Designee shall have the meaning set forth in Section 5(a).

  • Continuing Directors means, as of any date of determination, any member of the Board of Directors who (i) was a member of such Board of Directors on the date of the Agreement or (ii) was nominated for election or elected to such Board of Directors with the approval of a majority of the Continuing Directors who were members of such Board of Directors at the time of such nomination or election.

  • Interested Director means a director or trustee of an investment company who is an interested person within the meaning of Section 2(a)(19) of the Act. A “Disinterested Director” is a director who is not an interested person under Section 2(a)(19) of the Act.

  • Nominating Committee means the nominating committee of the board of directors of the Company established pursuant to the Articles, or any successor committee.

  • Disinterested Directors means, with respect to any Affiliate Transaction, one or more members of the Board of Directors of the Company, or one or more members of the Board of Directors of a Parent, having no material direct or indirect financial interest in or with respect to such Affiliate Transaction. A member of any such Board of Directors shall not be deemed to have such a financial interest by reason of such member’s holding Capital Stock of the Company or any Parent or any options, warrants or other rights in respect of such Capital Stock.

  • Disinterested Director means a director of the Company who is not and was not a party to the Proceeding in respect of which indemnification is sought by Indemnitee.

  • Adverse determination shall have the meaning set forth in Section 19.7.

  • Inspectors shall have the meaning set forth in Section 5(n) hereof.
