Adjusted Purchase Contract Adjustment Payment Rate definition

Adjusted Purchase Contract Adjustment Payment Rate means, with respect to any Reset Transaction, the rate per annum that is the arithmetic average of the rates quoted by two Reference Dealers selected by the Company as the rate at which Purchase Contract Adjustment Payments should accrue so that the fair closing price, expressed in dollars, of a Corporate PIES immediately after the later of (i) public announcement of such Reset Transaction or (ii) public announcement of a change in dividend policy in connection with such Reset Transaction will equal the average Trading Price of a Corporate PIES for the 20 Trading Days preceding the date of public announcement of such Reset Transaction; provided that the Adjusted Purchase Contract Adjustment Payment Rate shall not be less than 1.07% per annum.

  • Adjustment Price means the lowest Underlying Price within the Adjustment Period after the Underlying Price is for the first time equal to or below the Adjustment Threshold.

  • Calculation Amount means the amount specified as such on the face of any Note, or if no such amount is so specified, the Denomination Amount of such Note as shown on the face thereof;

  • Estimated Adjustment Amount has the meaning set forth in Section 2.5(a).

  • Final Adjustment Amount shall have the meaning set forth in Section 2.5(e).

  • Cash Settlement Amount means, in respect of every Board Lot, an amount calculated by the Issuer in accordance with the following formula (and, if appropriate, either (I) converted (if applicable) into the Settlement Currency at the Exchange Rate or, as the case may be, (II) converted into the Interim Currency at the First Exchange Rate and then (if applicable) converted into Settlement Currency at the Second Exchange Rate):

  • Interest Calculation Period means the period or periods for the calculation of the interest shown on the mortgage form;
