The Administrative Agent and its affiliates or other related entities may engage in transactions that affect the calculation of Base Rate, the Term SOFR Reference Rate, Term SOFR, Adjusted Term SOFR, any alternative, successor or replacement rate (including any Benchmark Replacement) or any relevant adjustments thereto, in each case, in a manner adverse to the Borrower.
Administrative Agent will promptly notify Borrower and Lenders if, in connection with any Loan or request for a Loan, (a) Administrative Agent determines that adequate and reasonable means do not exist for determining the Term SOFR Reference Rate for the Interest Period; or (b) Administrative Agent or Required Lenders determine for any reason that Adjusted Term SOFR for the applicable Interest Period does not adequately and fairly reflect the cost to Lenders of funding the Loan.
Upon determining Adjusted Term SOFR for any Interest Period requested by ▇▇▇▇▇▇▇▇, Administrative Agent shall promptly notify Borrower thereof by telephone or electronically and, if requested by ▇▇▇▇▇▇▇▇, shall confirm any telephonic notice in writing.
