Adversely Affected Member means a Member as to which an Individual Member Tax Event has occurred. "Affiliate" of a specified Person means any Person that directly or indirectly through one or more intermediaries controls, is controlled by, or is under common control with, such specified Person. As used. in this definition of Affiliate, the term "control" of a specified Person including, with correlative meanings, the terms, "controlled by" and "under common control with," means (a) the ownership, directly or indirectly, of 50 percent or more of the equity interests in a Person or (b) the power to direct or cause the direction of the management and policies of a Person, whether through ownership of voting securities, by contract or otherwise; provided, however, that notwithstanding the foregoing, for purposes of this Agreement, the Company will be deemed not to be an Affiliate of any Member or the Manager and none of the Members or the Manager will be deemed to be an Affiliate of the Company. "Agreement" has the meaning set forth in the introductory paragraph hereof, as the same maybe amended, modified or supplemented from time to time. "Applicable Month" has the meaning set forth in Section 4.1(b). "Appraisal Notice" has the meaning set forth in Section 11.4. "Approved Budget" means, as to any Fiscal Year, the operating budget for the Company approved or deemed approved by the Members as provided in Article IX, including the Annual Budget (as defined in the Operating and Maintenance Agreement) for such Fiscal Year.
