Aggregate Liquidity definition

Aggregate Liquidity means, at the date of calculation (on a Borrower-only basis and not on a consolidated basis) the sum of (i) the aggregate amount of unrestricted cash and cash equivalents on hand of the Borrower and (ii) the aggregate unused amount of commitments available for immediate draw at such time by the Borrower under committed third-party credit facilities and contingent capital facilities then in effect (excluding, for these purposes, the Available Amount (as such term is defined in the Amended and Restated Purchase Agreement) under the Series G Drawdown Right).

More Definitions of Aggregate Liquidity

Aggregate Liquidity means, as of any Interest Payment Date, the amount of all cash and cash equivalents of the Eletson MI Parties shown on the consolidated balance sheet of the Company as of such Interest Payment Date that are held in the Collection Account (other than Trust Monies, Existing Trust Monies prior to the completion of the Existing Trust Monies Offer and amounts arising from a Charter Disposal or a disposition of other assets) and are available for the payment of interest on the Notes, after giving pro forma effect to all interest and other debt service payments that are required to have been made as of such Interest Payment Date.
Aggregate Liquidity mean, at any time, the sum of (a) all of the cash held in the Liquidity Account at such time, plus (b) the market value of all of the Liquidity Cash Equivalents at such time, plus (c) the Liquidity Investment Property existing at such time, plus (d) Total Availability at such time.
Aggregate Liquidity means, as of any date of determination, all available, undrawn and unutilized commitments under the Revolving Credit Facility at such date plus the aggregate amount of Unrestricted Cash and Cash Equivalents of the Obligors at such date.

  • Free Liquidity means, at any date of determination, the aggregate of the Cash Balance and any Commitments under this Agreement or any other amounts available for drawing under other revolving or other credit facilities of the NCLC Group, which remain undrawn, could be drawn for general working capital purposes or other general corporate purposes and would not, if drawn, be repayable within six months.
