Aggregate Preferred Stock Merger Consideration definition

Aggregate Preferred Stock Merger Consideration means the aggregate Liquidation Value (as defined in the Company Charter) of all of the shares of Preferred Stock issued and outstanding immediately prior to the Effective Time (excluding, for the avoidance of doubt, any shares of Preferred Stock held in the treasury of the Company as contemplated by Section 1.04(c)).
Aggregate Preferred Stock Merger Consideration means the sum of (1) the product of (I) the Series B Merger Consideration multiplied by (II) the aggregate number of shares of Series B Preferred Stock outstanding immediately prior to the Effective Time, plus (2) the product of (I) the Series D Merger Consideration multiplied by (II) the aggregate number of shares of Series D Preferred Stock outstanding immediately prior to the Effective Time, plus (3) the product of (I) the Series E Merger Consideration multiplied by (II) the aggregate number of shares of Series E Preferred Stock outstanding immediately prior to the Effective Time.
Aggregate Preferred Stock Merger Consideration means the sum of the Series B Preferred Stock Merger Consideration, the Series C Preferred Stock Merger Consideration and the Series D Preferred Stock Merger Consideration.
