Series B Preferred Stock Merger Consideration definition

Series B Preferred Stock Merger Consideration shall have the meaning set forth in Section 3.2(b).
Series B Preferred Stock Merger Consideration means an amount in cash equal to the common stock merger consideration (i.e., $52.50 in cash), divided by 14,000 for each share of Taubman Series B preferred stock.
Series B Preferred Stock Merger Consideration means the aggregate amount equal to the sum of the Liquidation Values of each share of Series B Preferred Stock outstanding on the Closing Date, as determined in accordance with the Seller's Certificate of Incorporation in effect immediately prior to the Effective Time.
