Aggregate Required Lenders definition

Aggregate Required Lenders means, at any time, (a) if the Existing Commitments have not been terminated, Lenders holding at least sixty-six and two-thirds percent (66 2/3%) of the sum of the Existing Commitments and the outstanding Term B Loans or (b) if the Existing Commitments have been terminated, Lenders holding at least sixty-six and two-thirds percent (66 2/3%) of the sum of the outstanding Loans and the outstanding Letter of Credit Obligations and participation interests (including the participation interests of the Issuing Bank in any Letters of Credit); provided, however, that such Lenders must be in compliance with their obligations hereunder (as determined by the Agent).
Aggregate Required Lenders. Existing Required Lenders,” “Term B Required Lenders,” “holders of Notes,” or any similar terms shall, unless the context clearly otherwise indicates, include the Agent in its individual capacity. The Agent may accept deposits from, lend money to, acquire equity interests in, and generally engage in any kind of banking, trust, financial advisory or other business with one or more of the Borrowers or any affiliate of one or more of the Borrowers as if it were not performing the duties specified herein, and may accept fees and other consideration from the Borrowers for services in connection with this Credit Agreement and otherwise without having to account for the same with the Lenders.
Aggregate Required Lenders means, at any time, the Required Revolving Lenders, the Required Term Lenders and the Required Tranche C Term Lenders, each voting as a separate class.

Examples of Aggregate Required Lenders in a sentence

  • Without limiting the foregoing, no Lender shall have any right of action whatsoever against the Agent as a result of the Agent acting or refraining from acting hereunder in accordance with the instructions of the Aggregate Required Lenders, the Existing Required Lenders or the Term B Required Lenders, as applicable, or each of the Lenders, as the case may be.

  • CBI will issue credit memoranda promptly (with duplicates to the Agent upon its request for same) upon accepting returns or granting allowances, and may continue to do so until the occurrence of an Event of Default which continues beyond the expiration of the applicable grace or cure period, or which has not otherwise been waived by the Aggregate Required Lenders.

  • Notwithstanding anything herein to the contrary, so long as no Event of Default shall have occurred and be continuing, any successor Agent (whether appointed by the Aggregate Required Lenders or the Agent) shall have been approved in writing by CBI (such approval not to be unreasonably withheld).

  • Upon any such resignation, the Aggregate Required Lenders shall have the right, upon five (5) days’ notice, to appoint a successor Agent.

  • The Collateral Agent shall have the right at any time at the direction of the Aggregate Required Lenders, to require the Company to submit all Required Mortgage Documents and item number 4 from the Additional Required Mortgage Documents for any Repurchased Agency Loan and Receivable then being included in Collateral, and the Collateral Agent shall request the submission of such documents at the direction of the Credit Agent.

  • Upon any such resignation, the Aggregate Required Lenders shall have the right, upon five (5) days' notice, to appoint a successor Agent.

  • The definition of Aggregate Required Lenders may not be amended without the consent of all Lenders.

  • No Default hereunder or under (and as defined in) the Canadian Credit Agreement shall have occurred and be continuing on such date, in each case as to which the Aggregate Required Lenders have delivered to the Administrative Agent a written notice specifying that no extensions of credit hereunder may be made as a result thereof.
