Promptly, but not later than 15 days after its acceptance of appointment hereunder, the Allocation Arbiter will determine (based solely on presentations of Buyer and the Stockholders' Representative and not by independent review) only those matters in dispute and will render a written report as to the disputed matters and the resulting preparation of the Section 338 Forms shall be conclusive and binding upon the parties.
The Allocation Arbiter shall be instructed to make its determination and render its written report promptly, but not later than 15 days after its acceptance of appointment hereunder.
If the parties are unable to resolve such dispute within said 15 day period, Buyer and the Stockholders' Representative shall submit such dispute to an independent accounting firm of recognized national standing (the "Allocation Arbiter") selected by Buyer and the Stockholders' Representative, which firm shall not be the regular accounting firm of Buyer or the Stockholders.
The Allocation Arbiter shall be directed to determine (based solely on presentations by the Seller and the Buyer and not by independent review) only those matters in dispute and to render a written report as to the disputed matters and the resulting allocation of Purchase Price, which report shall be conclusive and binding upon the parties.
The Buyer and the Seller shall, subject to the requirements of any applicable Tax law or election, file all Tax Returns consistent with the allocation provided in the Asset Acquisition Statement, or if applicable, the determination of the Allocation Arbiter.
