Allowed Delay definition

Allowed Delay has the meaning set forth in Section 2(c)(ii).

Examples of Allowed Delay in a sentence

• Upon expiration of the Allowed Delay, the Company shall again be bound by the first sentence of this Section 3(f) with respect to the information giving rise thereto.

• Upon expiration of the Allowed Delay, the Company shall again be bound by the first sentence of this Section 3(e) with respect to the information giving rise thereto.

• The Company shall promptly notify the Holders in writing of the existence of an Allowed Delay and shall advise the Holders in writing to cease all sales under the Registration Statement until the end of the Allowed Delay.

• No payments under subparagraph (c)(i) shall be required in the event and for the duration of an Allowed Delay.

• Upon expiration of the Allowed Delay, the Company shall again be bound by the first sentence of this Section with respect to the information giving rise thereto.

More Definitions of Allowed Delay

Allowed Delay has the meaning assigned to it in Section 8.1(c)(2) hereof.

Allowed Delay means a period for no more than thirty (30) consecutive calendar days or more than an aggregate of sixty (60) calendar days (which need not be consecutive calendar days) during any 12-month period in which the Company determines in good faith that the suspension of a Registration Statement is necessary pursuant to Sections 3(d)(vi) and 3(d)(vii).
