Amended Shareholders Agreement definition

Amended Shareholders Agreement shall have the meaning set forth in the preamble to this Agreement.

Amended Shareholders Agreement means the amended and restated Shareholders Agreement dated August 27, 2020 between the Company, 2265866 Ontario Inc. and Ganfeng;

Amended Shareholders Agreement means the Shareholders Agreement, dated June 29, 2006 by and among the Company and the shareholders of the Company who were signatories thereto, as amended by the First Amendment to the Shareholders Agreement, dated July 4, 2006 by and among the Company and the shareholders who were signatories thereto;

• On the Closing Date, (i) the Amended Shareholders Agreement shall have been duly approved by all regular members of the Board of Directors of CAH, duly executed by all shareholders of CAH on their own behalf, and CAH shall have ratified the Amended Shareholders Agreement and agreed to be bound thereby, and (ii) the Amended and Restated Charter shall have been duly approved by all regular members of the Board of Directors of CAH and duly approved by all shareholders of CAH on their own behalf.

• On the Closing Date, (i) the Amended Shareholders Agreement shall have been duly approved by all regular members of the Board of Directors of CAH, and duly executed by all shareholders of CAH on their own behalf, and CAH shall have ratified the Amended Shareholders Agreement and agreed to be bound thereby, and (ii) the Amended and Restated Charter shall have been duly approved by all regular members of the Board of Directors of CAH and duly approved by all shareholders of CAH on their own behalf.

• The Credit Line Warrants will be transferable subject to the same restrictions on transfer set forth in the Amended Shareholders' Agreement (as defined below) and the Company's Articles of Association as shall be in effect from time to time, mutatis mutandis.

• Upon and subject to the Closing: (i) the Company's current Articles of Association shall be replaced with the Fifth Amended and Restated Articles of Association, in the form attached hereto as Exhibit ‎6(a) (the "Amended Articles"); and (ii) the Amended and Restated Shareholders' Agreement as currently in effect shall be replaced with the Amended and Restated Shareholders’ Agreement, in the form attached hereto as Exhibit ‎6(b) (the "Amended Shareholders' Agreement").

• The Seller agrees to cause the director it has appointed to the Board of Directors of CAH to resign effective as of 5:00 pm New York City time on the Closing Date and to waive its right to appoint such director until the earlier of (i) such time as it is no longer entitled to elect a director to the Board of Directors of CAH under Section 4.1(a) of the Amended Shareholders Agreement or (ii) the termination of this Agreement.

More Definitions of Amended Shareholders Agreement

Amended Shareholders Agreement means the amended and restated Shareholders’ Agreement in the agreed form to be entered into by the Buyer, the Company and the Shareholders at Completion;
