AMTD Parent definition

AMTD Parent has the meaning set forth in the preamble to this Agreement.

  • Any consent of AMTD Parent pursuant to this Agreement shall not be effective unless it is in writing and evidenced by the signature of the Chief Executive Officer or Chief Financial Officer of AMTD Parent (or such other person that the Chief Executive Officer, Chief Financial Officer or board of directors of AMTD Parent has specifically authorized in writing to give such consent).

  • Nothing in this Agreement shall operate to reduce, minimize or condition the rights granted to, or the obligations imposed upon, AMTD Parent and AMTD International by this Section 4.7.

  • AMTD Parent shall give AMTD Digital as much prior notice as reasonably practical of any proposed determination of, or any significant changes in, its accounting estimates or accounting principles from those in effect on the Public Filing Date.
