Annual Revenue Sharing Amount definition

Annual Revenue Sharing Amount has the meaning given in section 11.

Annual Revenue Sharing Amount has the meaning given in section 10 of Schedule 1.

Examples of Annual Revenue Sharing Amount in a sentence

• If the Annual Revenue Sharing Amount is less than the sum of (i) the aggregate Transfer Prices paid for the Products sold by TELA Bio during such calendar year and (ii) the aggregate Quarterly True Up Amounts paid to Aroa for such calendar year, Aroa shall pay such difference to TELA Bio within thirty (30) days following the date of such summary.

• If the Annual Revenue Sharing Amount is more than the sum of (i) the aggregate Transfer Prices paid for the Products sold by TELA Bio during such calendar year and (ii) the aggregate Quarterly True Up Amounts paid to Aroa for such calendar year, TELA Bio shall pay such difference to Aroa within thirty (30) days following the date of such summary (the “Annual True Up Payment”).

• Calculation of Net Annual Payment The Net Annual Payment for each Support Year during the Support Period is calculated as follows: BSY = CSY - DSY - ZSY Where: BSY = the Net Annual Payment for the relevant Support Year; CSY = the Annual Support Amount for the relevant Support Year; (in $); DSY = the Annual Revenue Sharing Amount for the relevant Support Year; and ZSY = the Aggregate Annual Rebate for the relevant Support Year;.

• The Net Annual Payment for each Support Year during the Support Period is calculated as follows: BSY = CSY - DSY - ZSY Where: BSY = the Net Annual Payment for the relevant Support Year; CSY = the Annual Support Amount for the relevant Support Year (in $); DSY = the Annual Revenue Sharing Amount for the relevant Support Year; and ZSY = the Aggregate Annual Rebate for the relevant Support Year.
