Applicable Issue Price definition

Applicable Issue Price means, (i) with respect to the Series A Preferred Shares, the Series A Issue Price; (ii) with respect to the Series B Preferred Shares, the Series B Issue Price; (iii) with respect to the Series C Preferred Shares, the Series C Issue Price; (iv) with respect to the Series C+ Preferred Shares, the Series C+ Issue Price; (v) with respect to the Series D Preferred Shares, the Series D Issue Price; (vi) with respect to the Series D-1 Preferred Shares, the Series D-1 Issue Price; (vii) with respect to the Series D-2 Preferred Shares, the Series D-2 Issue Price, (viii) with respect to the Series D-3 Preferred Shares, the Series D-3 Issue Price or (ix) with respect to the Series E Preferred Shares, the Series E Issue Price.
Applicable Issue Price means (i) with respect to the Series Angel Preferred Shares, the Series Angel Original Issue Price, (ii) with respect to Series A Preferred Shares, the Series A Original Issue Price, (iii) with respect to Series A+ Preferred Shares, the Series A+ Original Issue Price, (iv) with respect to Series B Preferred Shares, the Series B Original Issue Price, (v) with respect to Series C Preferred Shares, the Series C Original Issue Price, (vi) with respect to Series C+ Preferred Shares, the Series C+ Original Issue Price, (vii) with respect to Series C++ Preferred Shares, the Series C++ Original Issue Price, (viii) with respect to Series D Preferred Shares, the Series D Original Issue Price, and (ix) with respect to Series E Preferred Shares, the Series E Original Issue Price.

More Definitions of Applicable Issue Price

Applicable Issue Price shall be $4.00 for the Series 3 Preferred and $3.00 for the Series 4 Preferred. Each share of Series 3 Preferred and each share of Series 4 Preferred will automatically convert into Surviving Common on the basis described in this section upon the earlier of (i) the consent of the holders of at least a majority in interest of the outstanding shares of Series 3 Preferred and Series 4 Preferred, or (ii) a Qualified IPO (as defined below).
Applicable Issue Price means the applicable Series A Issue Price and/or Series B Issue Price and/or Series C Issue Price, as the case may be.

Related to Applicable Issue Price

  • Issue Price means the price at which a Unit is purchased from the Partnership, after taking into account any sales commission or underwriting discount charged to the Partnership.

  • Initial Issue Price means the price (excluding any Preliminary Charge) per Share at which Shares are initially offered in a Fund during the Initial Offer Period as specified in the Supplement for the relevant Fund;
