Applicable Margin Grid definition

Applicable Margin Grid means that certain pricing grid attached to this Agreement as Schedule 1.1.

Applicable Margin Grid means that certain pricing grid attached to this Agreement as Schedule 1.1. “Applicable Payment” has the meaning set forth in Section 12.16(a). “Approved Counterparty” means, at any time and from time to time, (a) any Lender Counterparty or (b) any Person engaged in the business of writing Commodity Hedging Agreements or Interest Rate Agreements that has (or the credit support provider of such Person has), at the time Borrower or any Restricted Subsidiary enters into a Commodity Hedging Agreement or Interest Rate Agreement, as applicable, with such Person, a long term senior unsecured debt credit rating of BBB-/Baa3 by S&P or Xxxxx’x (or their equivalent) or higher.

Examples of Applicable Margin Grid in a sentence

  • As used herein, the following terms shall have the following meanings for the purpose of this Agreement and the documents related hereto unless the context in which such term is used clearly requires otherwise: Applicable Margin Grid: the Applicable Margin Grid attached hereto and made a part hereof as Exhibit A.

  • Interest on the Incremental Term Loan shall be consistent with the pricing set forth for the Term Loan in Annex I (Applicable Margin Grid) to the this Agreement as of August 19, 2013.

  • The initial Applicable Margin for the Incremental Term Loan will be determined based on the Consolidated Net Leverage Ratio on the Closing Date; provided that after the date on which the Borrower will have delivered financial statements for the first full fiscal quarter ending after the Closing Date, the Applicable Margin will be determined in accordance with the following pricing grid: See Applicable Margin Grid below.

Related to Applicable Margin Grid

  • Applicable Margin means, with respect to Advances of any Type at any time, the percentage rate per annum which is applicable at such time with respect to Advances of such Type as set forth in the Pricing Schedule.

  • Applicable Margins means collectively the Applicable L/C Margin, the Applicable Unused Line Fee Margin, the Applicable Revolver Index Margin and the Applicable Revolver LIBOR Margin.

  • Applicable Prime Rate Margin shall have the meaning provided in section 2.7(g).

  • Eurodollar Rate Margin means the margin over the Eurodollar Rate used in determining the rate of interest of Eurodollar Rate Loans pursuant to subsection 2.2A.

  • ABR Margin as defined in subsection 2.21.

  • Applicable Commitment Fee Margin means, for each Pricing Period, the margin set forth below (expressed in basis points per annum) opposite the Applicable Pricing Level for that Pricing Period: II 10.0 V 17.5

  • Applicable L/C Margin means the per annum fee, from time to time in effect, payable with respect to outstanding Letter of Credit Obligations as determined by reference to Section 1.5(a).

  • Applicable Unused Line Fee Margin means the per annum fee, from time to time in effect, payable in respect of Borrowers’ non-use of committed funds pursuant to Section 1.9(b), which fee is determined by reference to Section 1.5(a).

  • Applicable Utilization Fee Rate means, as of any date, the percentage rate per annum at which Utilization Fees accrue on all Revolving Credit Advances at such time as set forth in the Pricing Schedule.

  • Eurodollar Margin means a rate per annum determined in accordance with the Pricing Schedule.

  • Applicable Eurocurrency Margin means, as at any date of determination, the rate per annum then applicable to Eurocurrency Rate Loans determined in accordance with the provisions of Section 2.14(D)(ii) hereof.

  • Note Margin With respect to each Mortgage Loan, the fixed percentage set forth in the related Mortgage Note and indicated in Exhibit One hereto as the "NOTE MARGIN," which percentage is added to the Index on each Adjustment Date to determine (subject to rounding in accordance with the related Mortgage Note, the Periodic Cap, the Maximum Mortgage Rate and the Minimum Mortgage Rate) the interest rate to be borne by such Mortgage Loan until the next Adjustment Date.

  • Facility Fee Rate means a rate per annum determined in accordance with the Pricing Schedule.

  • Applicable Facility Fee Rate means, at any time, the percentage rate per annum at which Facility Fees are accruing on the Aggregate Commitment at such time as set forth in the Pricing Schedule.
