  • The Service Provider acknowledges that if the Service Provider places an order with an Appointed Supplier for Supplies, a contract between the Appointed Supplier and the Service Provider for the purchase of the Supplies is to be formed as set out in clause 4.2 of the Deed of Standing Offer.

  • The Service Provider may at any time seek the provision of Supplies from an Appointed Supplier.

  • The Appointed Supplier shall observe all legal requirements of the HKSAR, and relevant international agreements in relation to health, safety and environment, and in particular to the marking of hazardous Goods, the provision of data sheets for hazardous materials, and all provisions relating to food.

  • The HKSIL shall appoint an authorised representative to liaise with the Appointed Supplier and supervise the performance of the Appointed Supplier in relation to the terms and conditions of this Contract.

  • The Appointed Supplier shall indemnify the HKSIL against all claims arising at any time that the sale, use or possession of the Goods infringes any patent rights, copyrights or registered design or other intellectual property rights of a third party, or on account of any claims for royalties arising from the sale, use or possession of the Goods, and the Appointed Supplier shall also be liable for any cost to the HKSIL that may arise from any such claims.

  • In the event that the Appointed Supplier offers for delivery any Goods which have previously been rejected by the Authorized Representative of the HKSIL, the HKSIL shall immediately thereupon be at liberty to terminate this Contract in the manner provided in Clause 7.

  • In the case where replacement goods have to be obtained from sources outside Hong Kong, the Appointed Supplier must advise the HKSIL of the delivery date of such replacement Goods and such date must be to the satisfaction of the Authorized Representative of the HKSIL.

  • If required by the Authorized Representative of the HKSIL under Sub-clause 2.1(ii), the Appointed Supplier shall within a reasonable period of time following the rejection replace the Goods rejected.

  • In the event that the Appointed Supplier is required to replace any defective Goods but he does not at the same time call for the return of the defective Goods, no responsibility for the defective Goods shall rest upon the HKSIL, and the HKSIL may dispose of them after a reasonable time in whatever manner as it sees fit and retain any proceeds thereof.

  • If the Goods are not fit for the purpose or of merchantable quality or fail to comply with the specification and notwithstanding the provisions of Clause 4 of the General Condition of Contract, the HKSIL may by notice in writing at any time and from time to time (i) reject all or part of the Goods delivered hereunder, or (ii) require the Appointed Supplier to repair or replace all or part of the Goods delivered hereunder or (iii) terminate the Contract forthwith.

Related to Appointed Supplier

  • Related Supplier means any person who provides services to the Customer which are related to the Services from time to time;

  • Restricted Supplier means any person, company, business entity or other organisation whatsoever who has supplied goods or services to the Company or any Group Company (other than utilities and goods or services supplied for administrative purposes) during any part of the Relevant Period or who has agreed prior to the Termination Date to supply goods or services to the Company to commence at any time in the 12 months following the Termination Date.

  • Preferred Supplier means a person named in Schedule F;

  • Contract Manufacturer means a company that produces goods under contract for another company under the label or brand name of that company.

  • Third Party Supplier means a third party manufacturer and/or licensor of Products.

  • Nominated sub Contractor means all specialists, merchants, tradesmen and others executing any special work or supplying any materials for which provisional or prime cost sums are included in the contract, who may have been or be nominated or selected or approved by the Employer / Employer’s Engineer and shall be deemed to be employed by the contractor.

  • Replacement Supplier means any third party provider of Replacement Goods and/or Services appointed by or at the direction of the Authority from time to time;

  • Replacement Contractor means any third party service provider appointed by the Authority to supply any services which are substantially similar to any of the Services and which the Authority receives in substitution for any of the Services following the expiry, termination or partial termination of the Contract.

  • Manufacturer means the person or body who is responsible to the approval authority for all aspects of the type approval process and for ensuring conformity of production. It is not essential that the person or body is directly involved in all stage of the construction of the vehicle, system, component or separate technical unit which is the subject of the approval process.

  • Major Supplier means a supplier which has the ability to materially affect the terms of participation (having regard to price and supply) in the relevant market for basic telecommunications services as a result of:

  • Medical equipment supplier means any person, as defined in § 1-230, engaged in the delivery to the ultimate consumer, pursuant to the lawful order of a practitioner, of hypodermic syringes and needles, medicinal oxygen, Schedule VI controlled devices, those Schedule VI controlled substances with no medicinal properties that are used for the operation and cleaning of medical equipment, solutions for peritoneal dialysis, and sterile water or saline for irrigation.

  • Former Supplier a supplier supplying services to the Customer before the Relevant Transfer Date that are the same as or substantially similar to the Services (or any part of the Services) and shall include any sub-contractor of such supplier (or any sub-contractor of any such sub-contractor);

  • Designated Contract Representative(s) means those individual(s) designated by the Contractor on the Pre-Work form during the Pre-Work Conference.

  • Third Party Manufacturer means (i) a Third Party whose primary business is contract manufacturing, or (ii) a Third Party who has a contractual arrangement with Licensee or with a sublicensee of Licensee that includes manufacturing of Client Product and/or Drug Product by such Third Party for Licensee or such sublicensee.

  • Product Manufacturer means the entity that assembles the component parts to manufacture the final Product;

  • Default Supplier means a Retailer appointed by EDTI pursuant to section 3 of the RRR Regulation;

  • Original manufacturer means the original component manufacturer, the original equipment manufacturer, or the contract manufacturer.

  • Original equipment manufacturer means a company that manufactures products that it has designed from purchased components and sells those products under the company's brand name.

  • Distributor representative means a representative employed by a distributor branch or distributor.

  • Supplier means the successful bidder who is awarded the contract to maintain and administer the required and specified service(s) to the State.

  • Relevant Supplier shall have the meaning set out in Clause 7.1;

  • Tobacco product manufacturer means an entity that after the date of enactment of this Act directly (and not exclusively through any affiliate):

  • Supplier Representative means the representative appointed by the Supplier from time to time in relation to this Framework Agreement;

  • qualified supplier means a supplier that a procuring entity recognises as having satisfied the conditions for participation;

  • Satellite Manufacturer means, with respect to any Satellite, the prime contractor and manufacturer of such Satellite.

  • Authorized aftermarket manufacturer means an organization that fabricates a part under a contract with, or with the express written authority of, the original component manufacturer based on the original component manufacturer’s designs, formulas and/or specifications.
