Examples of Apportioned Obligations in a sentence
Seller shall be liable for the proportionate amount of such Apportioned Obligations that is attributable to the Pre-Closing Tax Period, and Buyer shall be liable for the proportionate amount of such Apportioned Obligations that is attributable to the Post-Closing Tax Period.
Each Party shall cooperate in assuring that Apportioned Obligations that are the responsibility of Seller pursuant to the preceding sentences are paid by Seller, and that Apportioned Obligations that are the responsibility of Purchaser pursuant to the preceding sentence shall be paid by Purchaser.
Purchaser shall be responsible for the portion of such Apportioned Obligations attributable to the period beginning on or after the Closing Date.
Seller shall be responsible for the portion of such Apportioned Obligations attributable to the period ending before the Closing Date.
Apportioned Obligations and Transfer Taxes shall be timely paid, and all applicable filings, reports and returns shall be filed, as provided by applicable Law.
