Except as otherwise provided in this Second A&R Certificate of Incorporation or the DGCL, the business and affairs of the Corporation shall be managed by or under the direction of the Board.
Notwithstanding anything in this Second A&R Certificate of Incorporation to the contrary, so long as EagleTree beneficially owns collectively, in the aggregate, at least 10% of the voting power of the stock of the Corporation, any vacancy on the Board of Directors shall be filled in accordance with the Investor Rights Agreement.

Without limiting the generality of the foregoing, the resolution or resolutions providing for the creation and issuance of any series of Preferred Stock may provide that such series shall be superior or rank equally or be junior to any other series of Preferred Stock to the extent permitted by law and this A&R Certificate of Incorporation (including any Certificate of Designation).
