Frivolous means that at least 1 of the following conditions is met:
upheld means that a complaint has been finalised wholly or partially in favour of the complainant and that—
Reviewing Party any appropriate person or body consisting of a member or members of the Company's Board of Directors or any other person or body appointed by the Board who is not a party to the particular Claim for which Indemnitee is seeking indemnification, or Independent Legal Counsel.
Unsubstantiated means the same as that term is defined in Section 62A-4a-101.
Discriminatory Change in Law means a Change in Law, the terms of which apply expressly to:
reasonable measures means appropriate measures which are commensurate with the money laundering or terrorism financing risks;
Administrative merits determination means certain notices or findings of labor law violations issued by an enforcement agency following an investigation. An administrative merits determination may be final or be subject to appeal or further review. To determine whether a particular notice or finding is covered by this definition, it is necessary to consult section II.B. in the DOL Guidance.
Nonrecoverable Monthly Advance Any Monthly Advance previously made or proposed to be made in respect of a Mortgage Loan or REO Property that, in the good faith business judgment of the Seller, will not, or, in the case of a proposed Monthly Advance, would not be, ultimately recoverable from related late payments, Insurance Proceeds or Liquidation Proceeds on such Mortgage Loan or REO Property as provided herein.
Reasonable and Customary Charges means the charges for services or supplies, which are the standard charges for the specific provider and consistent with the prevailing charges in the geographical area for identical or similar services, taking into account the nature of the illness / injury involved.
Developmentally disabled person means a person who has a disability defined in RCW 71A.10.020. RCW 26.44.020
determined means a determination made in the absolute discretion of the person making the determination.

Viewing Card means the ZEEL approved viewing card to be used in conjunction with the Receiver Box in order for IPTV Operator to access and decode each of the Channels. “ZEEL’s share of MRP” with reference to a pay channel or a bouquet of pay channels means the Maximum Retail Price (MRP) of Zee Group Channels/Bouquets less of Distribution Margin, payable by the IPTV Operator to ZEEL for availing the signals of pay Zee Group Channel or bouquet of pay Zee Group Channels, as the case may be. All other words and expressions used in this Agreement not defined herein, and defined in the Act and rules and regulations made thereunder and the rules and regulations made thereunder, shall have the meanings respectively assigned to them in those Acts or the rules or regulations, as the case may be.
Inaccessible means an Insured cannot reach his/her Destination by the original mode of transportation.
Denied means the insurer refuses to pay a claim for any reason other than for claims not paid for failure to meet the waiting period or because of an applicable preexisting condition; and
Incompetent means an individual who is incapable of taking care of the individual’s self or property because of a mental or physical illness or disability, mental retardation, or senility.
Substantiated means an abuse investigation has been completed by the Department or the Department's designee and the preponderance of the evidence establishes the abuse occurred.
Reasonable and Customary means, in relation to a charge for Medical Service, such level which does not exceed the general range of charges being charged by the relevant service providers in the locality where the charge is incurred for similar treatment, services or supplies to individuals with similar conditions, e.g. of the same sex and similar Age, for a similar Disability, as reasonably determined by the Company in utmost good faith. The Reasonable and Customary charges shall not in any event exceed the actual charges incurred.
non-discriminatory means treatment no less favourable than that accorded to any other user of like public telecommunications networks or services in like circumstances;
Reviewing Authority means the Alberta Securities Commission.
Length of an academic term means the total number of school days in a single trimester or semester, as defined by the board of directors.
Gross Misconduct means any act or omission of the Contractor in violation of the most elementary rules of diligence which a conscientious Contractor in the same position and under the same circumstance would have followed.
Inherited Metabolic Disorder means a disease caused by an inherited abnormality of body chemistry that meets all of the following requirements:

Nonrecoverable P&I Advance Any P&I Advance previously made or proposed to be made in respect of a Mortgage Loan or REO Property that, in the good faith business judgment of the Servicer using Accepted Servicing Practices, will not or, in the case of a proposed P&I Advance, would not be ultimately recoverable from related Late Collections, Insurance Proceeds or Liquidation Proceeds on such Mortgage Loan or REO Property as provided herein.
Usual and Customary Charges means those comparable charges for similar treatment, services and supplies in the geographic area where treatment is performed.
