Arbitron Option definition

Arbitron Option means the option received to purchase Arbitron common stock after the conversion of a Ceridian Option pursuant to Article V hereof.
Arbitron Option means any option to acquire common stock of the Corporation issued pursuant to any of the following plans, as in effect immediately prior to the Effective Time: Ceridian Corporation 1990 Long-Term Incentive Plan; Ceridian Corporation 1993 Non-Employee Director Stock Plan; Ceridian Corporation 1993 Long-Term Incentive Plan; Ceridian Corporation 1994 Stock Option Plan; Ceridian Corporation 1996 Director Performance Incentive Plan; Ceridian Corporation 1999 Stock Incentive Plan; Ceridian Corporation 2000 Director Performance Incentive Plan; Comdata Holdings Corporation Stock Option and Restricted Stock Purchase Plan; EAS Technologies Stock Option Plan; ABR Information Services, Inc. Amended and Restated 1987 Stock Option Plan; ABR Information Services, Inc. Amended and Restated 1993 Stock Option Plan; ABR Information Services, Inc. 1977 Stock Option Plan; and ABR Information Services, Inc. 1996 Non-Employee Director Stock Option Plan.

Examples of Arbitron Option in a sentence

  • Any Arbitron Option held by (i) a Former Arbitron Employee or Former New Ceridian Employee who was entitled to continue benefits as a retired employee of the Corporation following his or her termination of employment, (ii) a retired non-employee director of the Corporation, (iii) the successors of an individual who is deceased, or (iv) a former director of ABR Information Services, Inc.

  • The Arbitron Option held by the optionee shall be converted into an option to purchase a number of shares of Arbitron common stock equal to the number of shares that were outstanding under the Arbitron Option immediately prior to the Effective Time adjusted pursuant to the terms of the option plan for the contemplated reverse stock split, and then rounded upwards to the nearest full share.

  • Any New Ceridian Employee who holds a Arbitron Option exercisable in whole or in part as of the Effective Time may instead elect, prior to the record date for the Distribution, to cancel the exercisable portion of such option and receive in its place an option to acquire New Ceridian common stock under the New Ceridian Option Plan, the number of shares and exercise price to be determined as provided in Section 5.3(b) below.

  • Encourage sustainable building practices (see Green Buildings chapter), such as locating structures to opti- mize solar orientation, passive ventilation and natural day lighting.

  • Except as otherwise provided in Section 5.5, each Arbitron Option held by a person other than a New Ceridian Employee or a New Ceridian director, consultant or independent contractor, whether or not exercisable as of the Effective Time, shall be adjusted in accordance with the following rules.

  • The stock option plans adopted by New Ceridian shall be administered so as to avoid adversely affecting any rights of a New Ceridian Employee under the terms of the plan under which the Arbitron Option was granted.

Related to Arbitron Option

  • Termination Option means the option of either party to terminate a transaction in the event that the other party fails to perform a Firm obligation to deliver Gas in the case of Seller or to receive Gas in the case of Buyer for a designated number of days during a period as specified on the applicable Transaction Confirmation.

  • Renewal Option has the meaning set forth in §12.1.

  • Extension Option shall have the meaning set forth in Section 2.5(c) hereof.

  • Option Right means the right to purchase Common Shares upon exercise of an option granted pursuant to Section 4 of this Plan.

  • Call Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and payment of the exercise price, as specified therein, to purchase from the writer thereof the specified underlying Securities.

  • Option Term means a period, if any, through which this Agreement may be or has been extended by the JBE.

  • Top-Up Option has the meaning set forth in Section 1.04(a).

  • Put Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and tender of the specified underlying Securities, to sell such Securities to the writer thereof for the exercise price.

  • Option Period means the period during which an Option may be exercised.

  • Compensation Options has the meaning ascribed in Section 8.1.

  • Director Option means an Option granted pursuant to Section 6.

  • Share Option means a Nonqualified Share Option or an Incentive Share Option.

  • Termination Option Event means an event of a kind defined as such in Section 4.1, 4.2 or 4.8.

  • Conversion Option means the Company’s option to convert some or all of the Series D Preferred Stock into that number of shares of Common Stock that are issuable at the then-applicable conversion rate as described in Section 8(c) of these Articles Supplementary.

  • Employee Option means an Option granted pursuant to Section 5.
