The sale, conveyance, transfer, assignment and delivery of the Assets and assumption of the Liabilities hereunder shall be effected upon or subsequent to the Closing Date by transfers of Certificates of Title, Bills of Sale, Articles of Transfer, Assignment Agreements and such other instruments of transfer and conveyance as may reasonably be requested by Purchaser, in such form as Purchaser may reasonably request.
As required by the respective charters of Transferee and Transferor and by the Maryland General Corporation Law, the terms and conditions of the transaction set forth in these Articles of Transfer were advised, authorized, and approved by the Boards of Directors of Transferor and Transferee, and approved by the stockholders of Transferor by the affirmative vote of a majority of all votes entitled to be cast on the matter.
The foregoing Articles of Transfer shall be effective as of December 31, 2000.
This Agreement may not be assigned by Buyer without the prior written consent of Seller provided that Buyer may, without Seller’s consent but after written notice to Seller at least five (5) days prior to Closing, (i) assign this Agreement to an entity that is controlled by Buyer, or (ii) direct that the Articles of Transfer, Certificate of Conveyance and Confirmatory Deed and related assignment documents be granted to an entity that is controlled by Buyer.
If Tenant is a corporation, the filing of Articles of Transfer or Merger with the State Department of Assessments and Taxation or the failure to do so when Tenant would otherwise be so legally required by operation of law of the assets of the corporation shall constitute an unauthorized assignment of this Lease.
The existence of the Corporation as a domestic corporation of Utah shall cease when these Articles of Transfer are filed.
The effective date of the transfer described herein shall be the date upon which these Articles of Transfer are filed with the Division of Corporations and Commercial Code of the Department of Commerce of the State of Utah.
Rights Chairman of the Board and President IN WITNESS WHEREOF, the Transferee has caused these Articles of Transfer to be signed in its name and on its behalf by its President and witnessed by its Secretary as of December 5, 2001.
The Board of Directors of the Transferor, at a meeting duly called and held, approved the terms and conditions of the transaction described in these Articles of Transfer and determined that the transaction was advisable and in the best interest of the Transferor and directed and recommended that the proposed transaction be submitted for consideration by the shareholders of the Transferor.
Buyer shall execute and deliver to Seller and the Shareholders all agreements, certificates and other documents required to be delivered by it pursuant to the terms of this Agreement, including without limitation the Assignment and Assumption Agreement, Xxxx of Sale, Articles of Transfer, Vehicle Bills of Sale, the Consulting Agreement, the Employment Agreement, and the Tidewater Assignment.
