Letter of Transmittal and Election Form definition

Letter of Transmittal and Election Form means the letter of transmittal and election form for use by the Corporation Shareholders with respect to the Arrangement;

Letter of Transmittal and Election Form means the letter of transmittal and election form accompanying the Information Circular sent to Shareholders for making their election to receive, in addition to the SpinCo Share Consideration and the SpinCo Warrant Consideration, the Cash Consideration, the Marathon Share Consideration, the Exchangeable Share Consideration or a combination thereof in exchange for their Common Shares;

• Under Federal income tax law, any person submitting this Letter of Transmittal and Election Form must provide to the Exchange Agent and Renaissance his, her or its correct taxpayer identification number (“TIN”), and certify that such TIN is true, correct and complete, on Substitute Form W-9 in the W-9 Box.

Letter of Transmittal and Election Form means the letter of transmittal and election form for use by Shareholders and BPO Convertible Preferred Shareholders with respect to the Arrangement;

Letter of Transmittal and Election Form means the letter of transmittal and election form(s) to be delivered by the Company to Company Securityholders providing for, among other things, the Company Securityholder’s election with respect to the Initial Consideration and for delivery of the certificates representing the Company Securityholder’s Company Shares or Company Compensation Option Certificate, as the case may be, to the Depositary.

Letter of Transmittal and Election Form means the Letter of Transmittal and Election Form enclosed with the Tahoe Circular sent in connection with the Tahoe Meeting pursuant to which, among other things, registered Tahoe Shareholders are required to deliver certificates representing Tahoe Shares and Tahoe Shareholders may elect to receive, in accordance with the election procedures set out in Section 3.2 and proration in accordance with Section 3.3, the Cash Consideration or the Share Consideration;
