Assigned Materials means all of the Deliverables excluding (i) the Agency Existing Materials and (ii) any Deliverables or parts of them which are Third-Party Materials in respect of which ▇▇▇▇▇▇ has been unable to obtain an assignment (pursuant to clause 8.9(b));

Assigned Materials means all documentation, reports, tests, summaries, presentations, software and other works of authorship relating to the IOP System or other Assigned Assets, including, without limitation, those contained in Seller's designated account at "box.com" pertaining to the IOP System, and including, as applicable, all copyrights therein, each to the extent owned by Seller as of the Effective Date.

• You shall not use or permit the use of the Assigned Materials or Our Materials for any other purpose without our prior written consent (which may be provided or withheld or conditional, at our absolute discretion).

• Angioblast acknowledges and agrees that, notwithstanding assignment of the Assigned Technology and Assigned Materials pursuant to clauses 2.1(a) and 2.2(a) and the Bone and Cartilage Licence pursuant to clause 3.1, from the date of this Deed Mesoblast Limited has agreed with Medvet under the Bone and Cartilage Licence to continue to pay the Bone and Cartilage Fee pursuant to the Bone and Cartilage Licence directly to Medvet until termination of the Bone and Cartilage Licence.

Assigned Materials has the meaning set forth in Section 3.1(c).

Assigned Materials means all quantities of CB-5339 owned by Cleave or any of its Affiliates, as further described on Exhibit D.
