AuRico Meeting means the special meeting, including any adjournments or postponements thereof, of the AuRico Shareholders a to be held to consider, among other things, and, if deemed advisable, to approve the AuRico Arrangement Resolution;

  • Subject to subsection 6.4(f), AuRico shall not adjourn, postpone or cancel the AuRico Meeting (or propose to do so), except: (i) in the case of an adjournment, if quorum is not present at the AuRico Meeting; (ii) if required by applicable Laws; (iii) if otherwise agreed with Northgate; or (iv) if required by the Court.

In this Agreement, unless a clear contrary intention appears, (i) the word “including” (in its various forms) means “including, without limitation;” (ii) the words “hereunder,” “hereof,” “hereto” and words of similar import are references in this Agreement as a whole and not to any particular provision of this Agreement; (iii) the word “or” is not exclusive; (iv) defined terms used in the singular include the plural and vice versa; and (v) references to “Sections” in this Agreement are references to Sections of this Agreement unless otherwise indicated.

  • Inaugural Meeting means the first meeting of a newly elected BOARD to be held following a municipal election and the commencement of the term of office;
