Average Borrowing Availability definition

Average Borrowing Availability means, for any calendar month, the average daily Net Borrowing Availability for such month.
Average Borrowing Availability has the meaning ascribed to it in Annex C.
Average Borrowing Availability means, as of any date of determination, the sum of Borrowing Availability as of the last day of each of the two consecutive Fiscal Months ending prior to such date of determination divided by two.

Average Borrowing Availability has the meaning ascribed to it in Section 1.2(a). “Bankruptcy Code” means the provisions of Title 11 of the United States Code, 11 U.S.C. §§101 et seq. or other applicable bankruptcy, insolvency or similar laws. “Bankruptcy Court” has the meaning ascribed to it in the recitals of the Agreement. “Borrower” and “Borrowers” have the respective meanings ascribed to them in the preamble to the Agreement. “Borrower’s Certificate” means a certificate signed on such Borrower’s behalf by a Responsible Officer of such Borrower. “Borrower Representative” has the meaning ascribed to it in Section 1.13. “Borrowing Availability” means as of any date of determination the lesser of (i) the Maximum Amount less the aggregate amount of the Revolving Loans then outstanding (including, without duplication, the outstanding balance of Letter of Credit Obligations then outstanding), and (ii) the Borrowing Base less the aggregate amount of the Revolving Loans then outstanding (excluding from the amount of Revolving Loans, for purposes of this clause (ii), the outstanding balance of Letter of Credit Obligations then outstanding, to the extent that the same are included within the definition of Borrowing Base). “Borrowing Base” means, at any time, an amount equal to the following: (a) 90% (or such lesser percentage as Agent may in its reasonable credit judgment, applying standards customary to institutional asset-based lenders, determine from time to time) of the face value of Eligible Accounts of the Borrowers due and owing from time to time; plus

  • Borrowing Availability means, as of any date of determination, the lesser of (i) the Maximum Amount and (ii) the Borrowing Base, in each case, less the sum of the aggregate Revolving Loan and Swing Line Loan then outstanding.

  • Revolving Availability means Class A Revolving Availability or Class B Revolving Availability, as applicable.

  • Revolving Loan Availability means at any time the lesser of (a) the Revolving Loan Commitment or (b) the Borrowing Base Amount.

  • Revolving Availability Period means the period from and including the Effective Date to but excluding the earlier of the Revolving Maturity Date and the date of termination of the Revolving Commitments.

  • Borrowing Base Availability means, at the time of any determination, an amount equal to the lesser of the Borrowing Base at such time and the aggregate amount of the Commitments at such time.

  • Canadian Availability means, at any time, an amount equal to (a) the lesser of (i) the aggregate Canadian Revolving Commitments at such time and (ii) the Canadian Borrowing Base at such time, minus (b) Commitment Reserves established with respect to the Canadian Loan Parties and/or the Canadian Collateral at such time minus (c) the Aggregate Canadian Credit Exposure at such time.

  • Required Availability means Excess Availability and unrestricted cash and Cash Equivalents in an amount of not less than $5,000,000.

  • Revolving Credit Availability Period means the period from and including the Effective Date to but excluding the earlier of the Revolving Credit Commitment Termination Date and the date of termination of the Revolving Credit Commitments.

  • Average Availability means, with respect to any period, the sum of the aggregate amount of Availability for each Business Day in such period (calculated as of the end of each respective Business Day) divided by the number of Business Days in such period.

  • Maximum Availability has the meaning set forth in Section 2.1.1.

  • Swing Line Availability has the meaning ascribed to it in Section 1.1(c)(i).

  • Average Excess Availability means, with respect to any period, the sum of the aggregate amount of Excess Availability for each Business Day in such period (calculated as of the end of each respective Business Day) divided by the number of Business Days in such period.

  • Term Loan Availability Period means the period starting on the Effective Date and ending on the End Date.

  • Aggregate Borrowing Base means the aggregate amount of the U.S. Borrowing Base and the Canadian Borrowing Base; provided that the maximum amount of the Canadian Borrowing Base which may be included in the Aggregate Borrowing Base is the Canadian Sublimit.

  • Borrowing Base Utilization Percentage means, as of any day, the fraction expressed as a percentage, the numerator of which is the sum of the Revolving Credit Exposures of the Lenders on such day, and the denominator of which is the Borrowing Base in effect on such day.

  • Aggregate Revolver Outstandings means, at any date of determination: the sum of (a) the unpaid balance of Revolving Loans, (b) the aggregate amount of Pending Revolving Loans, (c) one hundred percent (100%) of the aggregate undrawn face amount of all outstanding Letters of Credit, and (d) the aggregate amount of any unpaid reimbursement obligations in respect of Letters of Credit.

  • Final Availability Date means the earlier of the Revolving Termination Date and one (1) Business Day prior to the date specified in clause (a) of the definition of Revolving Termination Date.

  • U.S. Borrowing Base means, as of any date of determination, the result of:

  • Maximum Available Commitment means, subject to the proviso contained in the third sentence of Section 2.02(a), at any time of determination, (a) the Maximum Commitment at such time less (b) the aggregate amount of each Interest Advance outstanding at such time; provided that following a Provider Advance or a Final Advance, the Maximum Available Commitment shall be zero.
