• Any such Other Performance-Based Award shall be confirmed by an Award Commitment executed by the Company and the Grantee, which Agreement shall contain such provisions as the Committee determines to be necessary or appropriate to carry out the intent of the Plan with respect to such Award.

• The terms of the Plan, unless varied in this Award Commitment, apply to the Units awarded hereunder.
