Base Restriction Date definition

Base Restriction Date means a date specified by the Transferor in Schedule I to the Joinder Agreement in respect of Transferred Shares, which date shall be either (x) an anniversary of the IPO Date not later than July 24, 2008 (the seventh anniversary of the IPO Date) or (y) the Extended Restriction Date (which shall be identified by the use of such defined term in Schedule I to the Joinder Agreement); provided, however, that:
Base Restriction Date shall have the meaning ascribed to such term in Section 2.2(a) hereof.

The Deed Restrictions shall be perpetual and shall not be amended, released, extinguished or otherwise modified without the prior written approval of the Director, in the Director's sole discretion, who shall have full enforcement authority, as set forth more specifically in Section IX of this Agreement.
