Period of Restriction definition

Period of Restriction means the period during which the transfer of Shares of Restricted Stock are subject to restrictions and therefore, the Shares are subject to a substantial risk of forfeiture. Such restrictions may be based on the passage of time, the achievement of target levels of performance, or the occurrence of other events as determined by the Administrator.
Period of Restriction means the period during which the transfer of Shares of Restricted Stock is limited in some way (based on the passage of time, the achievement of performance goals, or upon the occurrence of other events as determined by the Committee, at its discretion), and the Shares are subject to a substantial risk of forfeiture, as provided in Article 8 herein.

  • Normally, when the Period of Restriction ends on any Share, you will be responsible for federal, state, and local taxes (including, without limitation, your FICA obligation) on the current Share value as of the vesting date.

  • You will not have the right to receive any dividends and other distributions paid with respect to your Shares during the Period of Restriction.
