Baseball Scheme Circular definition

Baseball Scheme Circular means the circular to the shareholders of Baseball setting out the proposals for the Baseball Scheme pursuant to which the Baseball Bidcos will acquire all of the issued and to be issued Baseball Shares not already owned by the Baseball Bidcos.

  • Scheme Circular means any circular to the shareholders of the Target to be issued by the Target setting out the proposals for any Scheme.

  • SEBI Circular means circular no. CIR/CFD/CMD/4/2015 dated September 9, 2015, issued by the SEBI on continuous disclosure requirements for listed entities, as amended or substituted from time to time;

  • Scheme Documents means, collectively, (i) the Scheme Circular, (ii) the Press Release, (iii) the Scheme Resolutions and (iv) any other document issued by or on behalf of the Target to its shareholders in respect of the Scheme.

  • Scheme Rules means the applicable SEPA direct debit or credit transfer scheme rules of the European Payments Council as amended from time to time.

  • Company Circular means the notice of the Company Meeting and accompanying management information circular, including all schedules, appendices and exhibits to, and information incorporated by reference in, such management information circular, to be sent to the Company Shareholders in connection with the Company Meeting, as amended, supplemented or otherwise modified from time to time in accordance with the terms of this Agreement.

  • Scheme Document means this document including its Annexures, any addenda or corrigendum to this Scheme Document and/ or any other document issued pursuant hereto.

  • EGM means an extraordinary general meeting of the Charity;

  • friendly society means corporation that is a friendly society within the meaning of section 16C of the Life Insurance Act 1995 of the Commonwealth.

  • Scheme of Arrangement means a scheme of arrangement, share for share exchange or analogous procedure.

  • the Scheme means the Local Government Pension Scheme in

  • Takeover Panel means the United Kingdom Panel on Takeovers and Mergers.

  • Information Circular means a completed Form 51-102F5 Information Circular; “informed person” means

  • ASIC means the Australian Securities and Investments Commission.

  • Tender Offer Documents means the documents provided to the holders of the Auction Preferred Shares by or on behalf of the Fund in connection with the Tender Offer.

  • Offer Documents shall have the meaning set forth in Section 2.1(b).

  • ASX means Australian Stock Exchange Limited.

  • Scheme Shareholders means the registered holders of Scheme Shares at the relevant time.

  • Takeover Rules means the Irish Takeover Panel Act 1997, Takeover Rules 2013;

  • Takeover Offer Document means, if following the date of this Agreement, Verizon elects to implement the Acquisition by way of the Takeover Offer in accordance with Clause 3.6, the document to be despatched to Fleetmatics Shareholders and others by Verizon containing, amongst other things, the Takeover Offer, the Conditions (save insofar as not appropriate in the case of a Takeover Offer) and certain information about Verizon and Fleetmatics and, where the context so admits, includes any form of acceptance, election, notice or other document reasonably required in connection with the Takeover Offer;

  • Scheme Year means a period of one year beginning with 1st April and ending with 31st March;

  • Explanatory Memorandum means this explanatory memorandum.

  • SEBI Listing Regulations means the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015;
