Beijing Charm means Beijing Charm Culture Co., Ltd.
Missing child means any child less than eighteen years of age in licensed care or under the care, custody, and authority of CA and the child's whereabouts are unknown and/or the child has left care without the permission of the child's caregiver or CA. This does not include children in dependency guardianship.
Pending Change of Control means: (i) the signing of a definitive agreement for a transaction which, if consummated, would result in a Change of Control; (ii) the commencement of a tender offer which, if successful, would result in a Change of Control; or (iii) the circulation of a proxy statement seeking proxies in opposition to management in an election contest which, if successful, would result in a Change of Control.

Conforming Changes means, with respect to either the use or administration of Term SOFR or the use, administration, adoption or implementation of any Benchmark Replacement, any technical, administrative or operational changes (including changes to the definition of “Base Rate,” the definition of “Business Day,” the definition of “U.S. Government Securities Business Day,” the definition of “Interest Period” or any similar or analogous definition (or the addition or deletion of a concept of “interest period”), timing and frequency of determining rates and making payments of interest, timing of borrowing requests or prepayment, conversion or continuation notices, the applicability and length of lookback periods, the applicability of Section 8.04(b) and other technical, administrative or operational matters) that the Administrative Agent decides (in consultation with the Borrower) may be appropriate to reflect the adoption and implementation of any such rate or to permit the use and administration thereof by the Administrative Agent in a manner substantially consistent with market practice (or, if the Administrative Agent decides that adoption of any portion of such market practice is not administratively feasible or if the Administrative Agent determines that no market practice for the administration of any such rate exists, in such other manner of administration as the Administrative Agent decides (in consultation with the Borrower) is reasonably necessary in connection with the administration of this Agreement and the other Loan Documents).
Framework Agreement means the Clauses of this Framework Agreement together with the Framework Schedules and annexes to it;
Project Management Agreement means the agreement dated the 20th February 1985 made between the Trustee and the Manager providing for the Manager to manage and co-ordinate the development and construction of the Resort and includes, if that agreement is terminated, any other agreement in like and similar terms made with the prior consent of the Minister;
Fourth Amendment Effective Date has the meaning assigned to such term in the Fourth Amendment.
Eleventh Amendment Effective Date has the meaning set forth in Section 4 of the Eleventh Amendment.
Seventh Amendment Effective Date shall have the meaning provided in the Seventh Amendment.
Second Amendment Effective Date has the meaning assigned to such term in the Second Amendment.
Joint Agreement means a type of Fund Use Agreement between the Consortium and the Fund Council that sets forth an umbrella set of terms and conditions that govern principally the submission and approval of CRP proposals and the transfer and use of funds from the CGIAR Fund for implementation of CRPs.
Ninth Amendment Effective Date has the meaning set forth in Section 4 of the Ninth Amendment.
First Amendment Effective Date has the meaning assigned to such term in the First Amendment.
Support Agreement has the meaning set forth in the Recitals.
Sixth Amendment Effective Date shall have the meaning provided in the Sixth Amendment.
Amendment No. 1 Effective Date has the meaning specified in Amendment No. 1.
Third Amendment Effective Date shall have the meaning provided in the Third Amendment.
Support Request means a request for assistance received by Blackboard's Service Desk and/or Service Desk Infrastructure from an Authorized User, such as any answered phone call, answered email, or answered chat.
Fifth Amendment Effective Date shall have the meaning provided in the Fifth Amendment.
Amendment No. 7 Effective Date has the meaning assigned to such term in Amendment No. 7.
Tenth Amendment Effective Date has the meaning assigned to such term in the Tenth Amendment.
L/C Amendment Application means an application form for amendment of outstanding Letters of Credit as shall at any time be in use at the Issuing Bank, as the Issuing Bank shall request.
existing law means any law, notification, order, rule or regulation relating to levy and collection of duty or tax on goods or services or both passed or made before the commencement of this Act by the Legislature or any Authority or person having the power to make such law, notification, order, rule or regulation;
Eighth Amendment Effective Date shall have the meaning provided in the Eighth Amendment.
Amendment No. 5 Effective Date has the meaning set forth in Amendment No. 5.
Amendment No. 2 Effective Date has the meaning specified in Amendment No. 2.
