Examples of Benefits Arrangements in a sentence
Employee shall be entitled to such other compensation as may be set forth in Schedule B – Supplemental Compensation and Benefits Arrangements.
The Company shall make available to Employee, during the Term of employment, employee benefits (such as vacation and insurance) made generally available by the Company to its employees (“Standard Benefits”), provided that Employee qualifies for such benefits, plus, if applicable, any other or different benefits set forth in Schedule B – Supplemental Compensation and Benefits Arrangements.
Any bonus provisions set out in Schedule B – Supplemental Compensation and Benefits Arrangements may be modified by the Company in its discretion from time to time.
The provisions of Sections 7(a), 8, 9, 10, 11 and 14, any post-termination covenants contained in Schedule A – Supplemental Compensation and Benefits Arrangements, and this Section 16 shall survive the termination of Employee’s employment with the Company irrespective of the reasons therefor.
Nothing in this Agreement shall in any way diminish any rights of Executives or their beneficiaries to pursue their rights as general creditors of the Company with respect to benefits due under the Benefits Arrangements or otherwise.
Except as provided in Section 5 hereof, after a Change in Control, the Company shall have no right or power to direct Trustee to return to the Company or to divert to others any of this Trust assets before all payment of benefits have been made to Executives and their beneficiaries pursuant to the terms of the Benefits Arrangements.
Any rights created under the Benefits Arrangements and this Agreement shall be mere unsecured contractual rights of the Executives and their beneficiaries against the Company.
Following a Change in Control, Trustee may select independent legal counsel (which can include its in-house counsel) and may consult with counsel or other experts with respect to its duties and with respect to the rights of Executives and their beneficiaries under the Benefits Arrangements.

For services rendered by Employee under this Agreement, the Company agrees to pay Employee and Employee agrees to accept an annual base salary in the amount set forth on the signature page hereof (unless otherwise specified in Schedule A – Supplemental Compensation and Benefits Arrangements hereto), less all amounts required by law to be withheld, deducted or collected, payable in accordance with the Company’s payroll policies, as such policies may be changed from time to time.
