BFC Common Stock definition

BFC Common Stock means the common stock, $0.01 par value per share, of BFC.
BFC Common Stock means, collectively, the BFC Class A Common Stock and the BFC Class B Common Stock.
BFC Common Stock has the meaning given to that term in Section 3.02(a) of this Agreement.

  • The outstanding shares of BFC Common Stock have been duly authorized and validly issued and are fully paid and non-assessable and have not been issued in violation of nor are they subject to preemptive rights of any BFC shareholder.

  • BFC will use its commercially reasonable efforts to cause the shares of BFC Common Stock to be issued in connection with the transactions contemplated by this Agreement to be approved for listing on the Trading Market, subject to official notice of issuance, prior to the Effective Time.

  • As of the date hereof, 7,462,444 shares of BFC Common Stock were issued and outstanding and no shares of preferred stock were issued and outstanding.
