BHLB Financial Statements means the (i) the audited consolidated statements of financial condition (including related notes and schedules) of BHLB as of December 31, 2011 and 2010 and the consolidated statements of income, comprehensive income, changes in shareholders’ equity and cash flows (including related notes and schedules, if any) of BHLB for each of the three (3) years ended December 31, 2011, as set forth in BHLB’s annual report on Form 10-K for the year ended December 31, 2011, and (ii) the unaudited interim consolidated financial statements of BHLB as of the end of each calendar quarter following December 31, 2011, and for the periods then ended, as filed by BHLB in the BHLB SEC Reports.

BHLB Financial Statements means the (i) the audited consolidated statements of financial condition (including related notes and schedules) of BHLB as of December 31, 2013 and 2012 and the consolidated statements of income, comprehensive income, changes in shareholders' equity and cash flows (including related notes and schedules, if any) of BHLB for each of the three (3) years ended December 31, 2013, as set forth in BHLB's annual report on Form 10-K for the year ended December 31, 2013, and (ii) the unaudited interim consolidated financial statements of BHLB as of the end of each calendar quarter following December 31, 2013, and for the periods then ended, as filed by BHLB in its Securities Documents.

Year-End Financial Statements has the meaning set forth in Section 3.06.
Unaudited Financial Statements has the meaning set forth in Section 3.4(a).
Closing Financial Statements has the meaning set forth in Section 6.22.
Statutory Financial Statements means, with respect to any Party, the annual and quarterly statutory financial statements of such Party filed with the Governmental Body charged with supervision of insurance companies in the jurisdiction of domicile of such Party to the extent such Party is required by Applicable Law to prepare and file such financial statements.
Purchaser Financial Statements shall have the meaning specified in Section 4.8.1.
Financial Statements has the meaning set forth in Section 3.06.
Original Financial Statements means the audited consolidated financial statements of the Guarantor for the financial year ended 31 December 2014.
Monthly Financial Statements is defined in Section 6.2(c).
Applicable Financial Statements means, as at any date, the most-recent audited financial statements of the Borrower delivered to the Lenders; provided that if immediately prior to the delivery to the Lenders of new audited financial statements of the Borrower a Material Adverse Change (the “Pre-existing MAC”) shall exist (regardless of when it occurred), then the “Applicable Financial Statements” as at said date means the Applicable Financial Statements in effect immediately prior to such delivery until such time as the Pre-existing MAC shall no longer exist.
Pro Forma Financial Statements shall have the meaning set forth in Section 5.5(b) hereof.
Quarterly Financial Statements is defined in Section 6.2(a).
Borrower Financial Statements has the meaning assigned to such term in Section 4.4(a).
Audited financial statement means a financial statement audited by an outside accounting firm.
Most Recent Financial Statements has the meaning set forth in Section 4(g) below.
