B&N Parties definition

B&N Parties means Xxxxxx & Xxxxx and all of its Subsidiaries immediately after giving effect to the Spin-Off (which, for the avoidance of doubt, excludes the Lead Borrower and its Subsidiaries).

Examples of B&N Parties in a sentence

  • At any time and from time to time after the date hereof, the B&N Parties, on the one hand, and the Buyer, on the other hand, shall, at the request of the other and at the expense of such requesting party, execute and deliver any further instruments or documents and take all such further action as shall be necessary, desirable or expedient to make effective the consummation of the transactions contemplated hereby.

  • Buyer Parties means Buyer, its Affiliates, their members, officers, directors, employees, agents, representatives, successors, and assigns.

  • Loan Parties means, collectively, the Borrower and each Guarantor.

  • Agent Parties has the meaning specified in Section 10.02(c).

  • Security Parties means each Borrower, each Guarantor, each Chargor, and any other person (other than a Manager or Charterer) who may at any time during the Facility Period be liable for, or provide security for, all or any part of the Indebtedness, and "Security Party" means any one of them.

  • Partnership Parties has the meaning assigned to such term in the preamble.

  • Non-Party Affiliates means each former, current or future officer, director, employee, partner, member, manager, direct or indirect equityholder or affiliate of the Company, Electriq Power or any of the respective affiliates or any of their respective subsidiaries, control persons, officers, directors, employees, partners, agents or representatives or any family member of the foregoing.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.

  • Certification Parties As defined in Section 11.09.

  • Parent Indemnified Parties has the meaning set forth in Section 9.2(a).

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • Party/Parties means Buyer and Seller individually/collectively.

  • Parent Related Parties means, collectively, (i) Parent or Merger Sub; and (ii) the former, current and future holders of any equity, controlling persons, Representatives, Affiliates (other than Parent or Merger Sub), members, managers, general or limited partners, stockholders and assignees of each of Parent and Merger Sub.

  • Warrantors means the Founders, the Founder Holdcos and the Group Companies.

  • Exculpated Parties shall have the meaning set forth in Section 13.1 hereof.

  • Party/Parties means Buyer and Seller individually/collectively.
