Board Appointee definition

Board Appointee means, as applicable, (a) a person designed for nomination to the Board by a Nominating Seller Party pursuant to its Board Appointment Right or (b) a person designed for nomination to the Board by the Non-Seller Appointed Directors.
Board Appointee shall have the meaning ascribed to such term in Section 4.13.
Board Appointee means a designee of the Group appointed to the Board.

  • Lead Director means, at any given time, the lead, independent member (if any) elected as such by the Board and occupying such position.

  • Non-Executive Director Means any director who is not an Executive Director.

  • Nomination and Remuneration Committee means a Committee of Board of Directors of the Company, constituted in accordance with the provisions of Section 178 of the Companies Act, 2013 and the Listing Agreement.
