Brand Maintenance Fees definition

Brand Maintenance Fees shall have the meaning given in the Holding Charter and as set forth in Section 10.2 of this Agreement.
Brand Maintenance Fees has the meaning set forth in Section 3.2(a).

Examples of Brand Maintenance Fees in a sentence

  • Except as set forth in Paragraph 3.2(a) of the Holding Charter, Licensee shall be obligated to make additional monthly deposits of Brand Maintenance Fees so as to maintain at all times three (3) months of reserve funding for Licensee’s share of Brand Maintenance Fees.

  • The estimate of Brand Maintenance Fees shall be calculated by Holding based on the anticipated Brand Maintenance Fees for which Licensee is responsible pursuant to Subsection 10.2 below.

  • The use of pesticides in the agriculture creates a specific problem, and, although the situation is improving, it is far from positive.

  • In the event that taxes (other than taxes imposed on net income) are imposed by any government upon the payment of Brand Maintenance Fees as required hereunder, such payments shall be increased by an amount such that after the withholding or other deduction of such taxes the net amount remitted by Company equals the Brand Maintenance Fee that would otherwise be due to AWS hereunder.

  • Notwithstanding anything to the contrary in this Section 12, all of Licensee’s costs, fees and expenses related to any Action, Enforcement or Claim shall be treated as Brand Maintenance Fees (as defined in the Holding Charter) attributable to Licensee.

  • All Brand Maintenance Fees will be funded as Capital Contributions of the Members as set forth in their respective Licenses.

  • The Officers (or other individual or entity designated by a Supermajority of the Board) shall be responsible for the preparation of the Operating Budget, which shall consist of Operating Expenses of the Company and Brand Maintenance Fees required to be paid to the Company under the Licenses.

  • The Company Maintenance Fees (including the Brand Maintenance Fees and other payments made pursuant to the Licenses) when paid (whether through direct payment by a Member or application of such Member’s Deposit) shall be treated as Capital Contributions for the purpose of this Agreement.

  • Thereafter, on a quarterly basis, the Officers shall prepare for the Board’s approval an updated Operating Budget for the Company (including adjustments to the estimated Brand Maintenance Fees in accordance with the Licenses and estimated Operating Expenses).

  • For the avoidance of doubt, no Member shall have any obligation to make any capital contribution to the Company other than in respect of (i) Operating Expenses and (ii) Brand Maintenance Fees relating to such Member’s License.

Related to Brand Maintenance Fees

  • Maintenance Fees means the non-refundable fees payable annually by Licensee to OT for Support Services;

  • Operation and Maintenance Costs means the costs of:

  • Maintenance Fee The Maintenance Fee (see Contract Schedule I) will be deducted during the Accumulation Period from the Current Value on each anniversary of the date the Account is established and upon surrender of the entire Account.

  • Operation and Maintenance Expenses or ‘O&M expenses' means the expenditure incurred on operation and maintenance of the project, or part thereof, and includes the expenditure on manpower, repairs, spares, consumables, insurance and overheads;

  • License Fees means the license fees, including all taxes thereon, paid or required to be paid by Licensee for the license granted under this Agreement.

  • Maintenance Costs means parts and materials, sublet and labour costs of a qualified licensed mechanic for the maintenance of the Revenue Service Vehicles, but shall not include costs associated with interior and exterior transit advertising signs and non-mechanical servicing of Revenue Service Vehicles such as fuelling, clearing fareboxes, cleaning and painting wheel rims, vehicle washing and other work performed by a serviceman; and,

  • Deferred Maintenance means improvements necessary for continued operations which do not improve productivity or alter the process technology.

  • Operations and maintenance means a project delivery method in which the District enters into a single contract for the routine operation, routine repair, and routine maintenance of an infrastructure facility.

  • Operation and Maintenance or “O&M” shall mean all activities required to operate, maintain, and monitor the effectiveness of the RA as specified in the SOW or any EPA-approved O&M Plan.

  • Yield Maintenance Premium means the amount (if any) which, when added to the remaining principal amount of this Note, will be sufficient to purchase U.S. Obligations providing the required Scheduled Defeasance Payments; and

  • Sublicense Fees shall have the meaning set forth in Section 7.3 below.

  • Yield Maintenance Charge With respect to any Mortgage Loan or Serviced Companion Loan, the yield maintenance charge or prepayment premium, if any, payable under the related Note in connection with certain prepayments.

  • Yield Maintenance Period means the period from and including the date of this Note until but not including the Scheduled Initial Maturity Date.

  • Support and Maintenance Services means the support and maintenance services described in Section 1 of these Support Terms.

  • Scheduled Maintenance means any adjustment, repair, removal, disassembly, cleaning, or replacement of components or systems required by the manufacturer which is performed on a periodic basis to prevent part failure or equipment or engine malfunction, or anticipated as necessary to correct an overt indication of malfunction or failure for which periodic maintenance is not appropriate.

  • Planned Maintenance means any Maintenance BT has planned to do in advance.

  • Spread Maintenance Premium means, with respect to any payment or prepayment, an amount equal to the product of the following: (i) the LIBOR Margin, the Alternate Rate Spread or the Base Rate Spread then applicable to each such future installment of interest, multiplied by (ii) the principal amount of the Loan so prepaid, and multiplied by (iii) a fraction, the numerator of which is the number of days following the date through which interest on the prepaid amount has been paid through and including December 14, 2019, and the denominator of which is 360.

  • License Fee means the amount payable by the licensee to DMRC as per rates offered by the Selected Bidder for utilization of licensed space and accepted by DMRC to be paid by the Licensee along with other charges and any kind of Central or State Taxes, local levies, statutory dues, etc. that may be payable by the licensee as per prevalent law.

  • Yield Maintenance Amount means, with respect to any Note, an amount equal to the excess, if any, of the Discounted Value of the Called Principal of such Note over the sum of (i) such Called Principal plus (ii) interest accrued thereon as of (including interest due on) the Settlement Date with respect to such Called Principal. The Yield-Maintenance Amount shall in no event be less than zero.

  • Service Fees means all fees payable by Party B to Party A pursuant to Article 3 of this Agreement in respect of the Services provided by Party A.

  • Software Maintenance means the process of modifying software after delivery to correct faults, improve performance or other attributes, or adapt to a changed environment. (Reference ISO/IEC 14764:2006, as amended or superseded.) Software maintenance does not include any customization or configuration.

  • Yield Maintenance Agreement The yield maintenance agreement between the Trustee, on behalf of the Trust, and the Counterparty, which will be primarily for the benefit of the Class 1-CB-1 Certificates, substantially in the form attached hereto as Exhibit Q. The Yield Maintenance Agreement shall not be an asset of any REMIC formed under this Agreement.

  • Routine maintenance means activities to keep an impervious surface as near as possible to its constructed condition. This includes ordinary maintenance activities, resurfacing paved areas, and exterior building changes or improvements which do not materially increase or concentrate stormwater runoff, or cause additional nonpoint source pollution.

  • Work-out Fee means a fee payable with respect to any Rehabilitated Mortgage Loan (other than any Non-Serviced Mortgage Loan), Serviced Companion Mortgage Loan or B Note, equal to the product of (x) 1.0% and (y) the amount of each collection of interest (other than default interest and any Excess Interest) and principal received (including any Condemnation Proceeds received and applied as a collection of such interest and principal) on such Mortgage Loan, Serviced Companion Mortgage Loan or B Note for so long as it remains a Rehabilitated Mortgage Loan.
