Brokered Financing definition

Brokered Financing means the brokered financing of Xxxxx Subscription Receipts to be completed prior to the Closing for gross proceeds of up to $25 million; the net proceeds of which will be placed in escrow and released to Xxxxx, and the Xxxxx Subscription Receipts will automatically be converted into Xxxxx Units, on satisfaction of certain escrow release conditions, and each Xxxxx Share will then be exchanged for one Resulting Issuer Share and each Xxxxx Warrant will then be exchanged for one Resulting Issuer Warrant, respectively, in connection with the Transaction and the Amalgamation;
Brokered Financing means the brokered private placement of 10,237,255 Subscription Receipts at a price of $2.25 per Subscription Receipt led by the Agents for aggregate gross proceeds of $23,033,823.
Brokered Financing means a brokered private placement of subscription receipts being offered by the Corporation concurrently with the Financing Transaction.
