BT Parties definition

BT Parties means employees, agents and subcontractors of BT or its Affiliates.

  • The Transferor Interest (as defined in the Indenture) shall not represent any interest in the Collection Account or any Series Accounts, except as specifically provided in this Article IV and the related Indenture Supplement.

  • This Agreement shall, upon its execution by the BT Parties, constitute valid and binding obligations of each such BT Party, enforceable against such BT Party, as the case may be, in accordance with its terms.

  • The BT Parties represent and warrant that (i) all material agreements of BTC have been made on arms’ length bases, reflecting normal market conditions, providing for adequate compensation, and that (ii) BTC has entered into no agreements, assumed no liabilities, commitments to pay or obligations, or given any guarantees, surety bonds, endorsements, insurance or the like in excess of an amount equivalent to € 10 million on the date hereof.

  • No agent, broker, person or firm acting on behalf of any TI Party or any of its Affiliates or related parties is, or will be, entitled to any commission or broker’s or finder’s fees from any of the BT Parties or any of the BT Parties’ respective Affiliates, in connection with any of the transactions contemplated by this Agreement.

  • Customer will be liable for any loss of or damage to BT Equipment not caused by BT or BT Parties.

  • The Customer, upon receiving a notice from BT, will permit BT and BT Parties, if necessary, to access the Sites so that BT can comply with the obligations of this Contract, including the installation or maintenance of BT’s Equipment or Products and the retrieval or de-installation of any Device.

  • No agent, broker, person or firm acting on behalf of any TI Party or any of its Affiliates or related parties is, or will be, entitled to any commission or broker's or finder's fees from 13 any of the BT Parties or any of the BT Parties' respective Affiliates, in connection with any of the transactions contemplated by this Agreement.

  • Each of the AT&T Parties and the BT Parties hereby waives the applicability of any preemptive right (voorkeursrecht) to which such party may be entitled with respect to any issuance of shares of Thistle BV required to be made pursuant to this Agreement.

Related to BT Parties

  • Concert Parties means such persons as are deemed to be Acting in Concert with Mediahuis or INM (as the context so requires) pursuant to Rule 3.3 of Part A of the Takeover Rules, and such persons as are Acting in Concert with that party;

  • Parent Parties means Parent and Merger Sub.

  • Transaction Parties As defined in Section 5.3(o).

  • Note Parties means, collectively, the Issuer and each Guarantor.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.

  • Party/Parties means Buyer and Seller individually/collectively.

  • Agent Parties has the meaning specified in Section 10.02(c).

  • Partnership Parties has the meaning assigned to such term in the preamble.

  • Local Parties shall be defined as the Board or the local OSSTF/FEESO bargaining unit party to a collective agreement.

  • Relevant Parties means the Agent, each Borrower, each Security Party, the Security Trustee, each Lender and the Swap Bank;

  • Credit Parties means the Borrower and the Guarantors.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Additional Senior Debt Parties means, with respect to any series, issue or class of Additional Senior Debt, the holders of such Indebtedness, the Representative with respect thereto, any trustee or agent therefor under any related Additional Senior Debt Documents and the beneficiaries of each indemnification obligation undertaken by the Borrower or any Guarantor under any related Additional Senior Debt Documents.

  • Class Debt Parties has the meaning assigned to such term in Section 8.09.

  • Buyer Parties has the meaning set forth in the Preamble.

  • Investor Parties has the meaning set forth in the Preamble.

  • Borrower Parties means the collective reference to the Borrower and its Restricted Subsidiaries, and “Borrower Party” means any one of them.

  • Parent Related Parties means each of Parent, Merger Sub, any of their respective former, current or future equityholders, controlling Persons, limited or general partners, managers, members, Affiliates, directors, officers, employees, agents, attorneys, stockholders, assignees or Representatives.

  • Warrantors means the Founders, the Founder Holdcos and the Group Companies.

  • Bank Parties means Administrative Agent and the Banks.

  • U.S. Credit Parties means, collectively, the US Borrowers and the US Subsidiary Guarantors.

  • Party/Parties means Buyer and Seller individually/collectively.

  • Selling Parties shall have the meaning specified in the preamble.

  • U.S. Loan Parties means the U.S. Borrowers and the U.S. Guarantors.

  • Restricted Parties has the meaning set forth in Section 6.7(a).

  • Loan Parties means, collectively, the Borrower and each Guarantor.
