Bulk Sales Waiver. The Sellers and the Buyer each waive compliance by the other with any bulk sales or similar laws that may be applicable to the transactions contemplated by this Agreement.

Bulk Sales Waiver. Notwithstanding anything to the contrary herein, each of Buyer and Sellers hereby waive compliance with all “bulk sales,” “bulk transfer” and similar Laws that may be applicable with respect to the sale and transfer of any or all of the Purchased Assets to Buyer.
Bulk Sales Waiver. Purchaser and its Affiliates acknowledge that Seller and its Affiliates have not taken, and do not intend to take, any actions required to comply with any applicable “bulk transfer law” or “bulk sales law” (or any similar law) of any jurisdiction. Purchaser and its Affiliates hereby waive compliance by Seller and its Affiliates with the provisions of any “bulk transfer law” or “bulk sales law” (or any similar law) of any jurisdiction in connection with the transactions contemplated by this Agreement.
Bulk Sales Waiver. Each of the Purchaser and the Designated Purchasers hereby waives compliance with the provisions of any applicable Laws, including the Bulk Sales Act (Ontario), Section 6 of the Retail Sales Tax Act (Ontario) and any similar tax related bulk sales rules, relating to the sale of property in bulk in connection with the transfer of the Assets to the Purchaser. The Seller hereby covenants and agrees to indemnify and hold the Purchaser harmless from and against any and all Losses, which any of the Purchaser or the Designated Purchasers may incur as a result of any failure to comply with any applicable Laws relating to such bulk transfers.
Bulk Sales Waiver. NewCo hereby waives compliance by each Pfizer Party with any applicable bulk sales Laws in connection with the Transactions.
