Amounts which are vested benefits or which the Executive is otherwise entitled to receive under any benefit, plan, policy, practice or program of, or any contract or agreement entered into with, the Company shall be payable in accordance with such benefit, plan, policy, practice or program or contract or agreement except as explicitly modified by this Agreement.
From the date hereof until the Effective Time, Xxxxxxxx and its Subsidiaries shall conduct their business in the Ordinary Course of Business of Xxxxxxxx and shall use their best efforts to preserve intact their business organizations and relationships with third parties and to keep available the services of their present officers and key employees.
Employee agrees that during employment with the company and for a period of twelve (12) months following the cessation of employment, Employee will not directly or indirectly solicit or attempt to solicit any business in competition with the Business of Xxxxxxxx from any of the customers of the Company with whom Employee had direct contact during the last two years of Employee’s employment with the Company.
The inclusion of any information of the Disclosure Schedule (including the specification of any dollar amount in the representations and warranties contained in this Agreement or the Disclosure Schedule) is not intended to imply that such disclosures (a) are or are not material to the business, assets, liabilities, financial condition, results of operation or prospects of Xxxxxxxx, (b) amount to a Material Adverse Effect or (c) occurred outside of the Ordinary Course of Business of Xxxxxxxx.
In addition, Employee acknowledges that, during the course of employment, he/she will build and maintain substantial relationships with specific existing and prospective customers or clients and will be responsible to maintain and build customer or client goodwill associated with the Business of Xxxxxxxx throughout the United States and other countries in which Xxxxxxxx operates.

Employee acknowledges that if he/she were to compete with the Company in the Business of Xxxxxxxx, Employee could cause serious harm to the Company.
