Buyer Improvements definition

Buyer Improvements means any and all improvements to the Transferred IP, Buyer Patents or Buyer Know-How created, conceived or reduced to practice by Buyer, or its Affiliates, or by Third Parties acting on Buyer’s, or its Affiliates’ behalf.
Buyer Improvements means any and all buildings, structures, and facilities now situated or hereafter erected on the Buyer Property, excluding any Excluded Assets and NYSEG Interconnection Facilities.
Buyer Improvements means all rights in or to any and all technologies and/or technology enhancements created, identified, conceived, developed or reduced to practice by or on behalf of Buyer in relation to the Assets, including, without limitation, the Buyer Patent Rights.

Examples of Buyer Improvements in a sentence

  • Installation of all Buyer Improvements shall be coordinated with Seller's contractor's schedule for the Base Building Improvements, and shall be handled in such a manner as to maintain harmonious labor relations and not interfere with or delay the work of Seller's contractors.

  • Upon Buyer's request, if a certificate of shell completion or similar certification is available from the City of Sunnyvale in connection with the Improvements, without incurring any additional cost or causing delays to the Improvements or Buyer Improvements, Seller shall use commercially reasonable efforts to obtain such certification after completion of the Improvements and deliver a copy to Buyer.

  • Buyer may, but shall have no obligation to, disclose Buyer Improvements to the Asset Sellers, including copies of invention disclosures or patent applications with respect to such Buyer Improvements.

  • Buyer shall direct and authorize Buyer's Contractor to keep Seller fully informed of the construction process for the Buyer Improvements and to provide Seller with access to all documentation and other information in Buyer's Contractor's possession or control regarding construction of the Buyer Improvements, provided that Seller shall not be obligated to monitor or inspect construction of the Buyer Improvements or any information in connection therewith.


More Definitions of Buyer Improvements

Buyer Improvements means any improvements, modifications, enhancements or refinements of Transferred Technology that are developed by or for Buyer or any of its Affiliates following the Closing through December 31, 2014.
Buyer Improvements has the meaning given to it in Section 5.9(b).

Related to Buyer Improvements

  • Licensee Improvements means any enhancement to or modification or improvement of the Licensed Patents and/or the Proprietary Information created by or on behalf of Licensee and/or any of its subsidiaries.

  • Substitute Improvements means the substitute or additional improvements of the Issuer described in Article V hereof.

  • Site Improvements means any construction work on, or improvement to, streets, roads, parking facilities, sidewalks, drainage structures and utilities.

  • Project Improvements means site improvements and facilities that are:

  • Minimum Improvements means the acquisition of land and construction of a 152-unit market rate residential apartment building, construction of a stormwater pond and related improvements. The Minimum Improvements are more fully depicted in Exhibit B, which is attached hereto and incorporated herein.

  • Private Improvements means the improvements to be constructed on the Property that are not Public Improvements.

  • Infrastructure Improvements means a street, road, sidewalk, parking facility, pedestrian mall, alley, bridge, sewer, sewage treatment plant, property designed to reduce, eliminate, or prevent the spread of identified soil or groundwater contamination, drainage system, waterway, waterline, water storage facility, rail line, utility line or pipeline, transit-oriented development, transit-oriented property, or other similar or related structure or improvement, together with necessary easements for the structure or improvement, owned or used by a public agency or functionally connected to similar or supporting property owned or used by a public agency, or designed and dedicated to use by, for the benefit of, or for the protection of the health, welfare, or safety of the public generally, whether or not used by a single business entity, provided that any road, street, or bridge shall be continuously open to public access and that other property shall be located in public easements or rights-of-way and sized to accommodate reasonably foreseeable development of eligible property in adjoining areas. Infrastructure improvements also include 1 or more of the following whether publicly or privately owned or operated or located on public or private property:

  • Leasehold Improvements means all buildings, structures, improvements and fixtures located on any Leased Real Property which are owned by any Group Company, regardless of whether title to such buildings, structures, improvements or fixtures are subject to reversion to the landlord or other third party upon the expiration or termination of the Lease for such Leased Real Property.

  • Joint Improvements means (a) any and all Improvements to the Acceleron Technology created, conceived or reduced to practice, and, in the case of patentable Improvements, Invented, solely by Celgene, its Affiliates, agents or by Third Parties acting on their behalf, while performing activities under this Agreement; and (b) any and all Improvements to the Acceleron Technology or Joint Technology created, conceived or reduced to practice, and, in the case of patentable Improvements, Invented, jointly by Acceleron and Celgene, their respective Affiliates, agents or Sublicensees or by Third Parties acting on their behalf, while performing activities under this Agreement; provided, however, that Joint Improvements shall not include any Improvement that is a Celgene Improvement or Acceleron Improvement.

  • Needs Improvement the Educator’s performance on a standard or overall is below the requirements of a standard or overall, but is not considered to be unsatisfactory at this time. Improvement is necessary and expected.
