Licensee Improvements definition

Licensee Improvements means improvements, variations, updates, modifications, and enhancements made and/or acquired at any time after the Start Date by the Licensee or any sublicensees of the Licensee relating to the Technology which cannot be legally used or practiced without infringing the Technology licensed under this Agreement, as well as all data generated by or on behalf of the Licensee in the course of the Technology Validation Project;

Licensee Improvements means Improvements created, conceived, or reduced to practice by or for Licensee.

Licensee Improvements means all discoveries and/or inventions (whether patented or not) conceived or reduced to practice (actual or constructive) solely by LICENSEE as between the parties during the term of this Agreement that constitute a modification, improvement or variation of the Licensed Subject Matter.

Examples of Licensee Improvements in a sentence

• If Licensee elects not to enforce or defend any action, Licensor may exercise a secondary right with respect to enforcing or defending the Licensee Improvements solely outside the Field.

• The Licensee Improvements are licensed to Licensor “as is”, without any representations, warranties or indemnities of any kind, express or implied.

• With respect to any Licensee Improvements, Licensee shall have the sole right (itself or through others), at its sole option, to bring suit to enforce the Licensee Improvements and/or to defend any action with respect thereto, in each case with respect to violating or infringing activities.

• In doing so, Licensee shall prosecute and maintain the Licensee Improvements in accordance with the procedures applicable to Licensor in Section 5.1. If Licensee elects not to file, prosecute or maintain any patent application or patent with respect to the Licensee Improvements, Licensor may take over the filing, prosecution and maintenance thereof in accordance with the procedures applicable to Licensee in Section 5.2.

• Nothing herein shall be construed as granting Licensor, by implication, estoppel or otherwise, any right or license to the Licensee Improvements other than those expressly granted herein.

More Definitions of Licensee Improvements

Licensee Improvements means any improvement, enhancement, modification, derivative work or upgrade to any of Licensor Patent Rights made, conceived, reduced to practice, affixed or otherwise developed by or on behalf of Licensee during the term of this Agreement and solely as exercised under the License.

Market means, in relation to a Licensed Product, offering to sell, lease, licence or otherwise commercially exploit the Licensed Product or the sale, lease, licence or other commercial exploitation of the Licensed Product.
